Oil patch expects richer Shell offer By ANDREW WILLIS AND PATRICK BRETHOUR Monday, January 2, 2006 Posted at 9:14 PM EST From Tuesday's Globe and Mail Royal Dutch Shell PLC will have to pitch a sweet offer to shareholders in its Canadian subsidiary if the company does launch a rumoured $7.6-billion-plus buyout of Shell Canada Ltd. Shares in Shell Canada surged nearly 10 per cent Friday on reports that its parent, based in The Hague, is contemplating a buyout of minority shareholders, who own 22 per cent of the Canadian company. “The deal is logical, expected, and widely rumoured,” said one top oil patch financier, who added that his investment bank is not advising either company. But he cautioned: “We would expect that unless [the parent company] steps up, the minority will kick and scream, so as much as it is logical, I'm not sure it's doable” because a deal may become too expensive. A Shell Canada takeover would come as analysts forecast a massive jump this year in the company's cash flow. CIBC World Markets analyst Rob Plexman predicts the Calgary-based company, which holds a stake in the Alberta oil sands, will generate $7.97 of cash a share in 2006, compared with $4.27 in 2005. Advertisements A Royal Dutch buyout of its Canadian subsidiary would be in line with the preference of major energy players to buy reserves rather than spend their extra billions from high commodity prices on risky exploration efforts. Many companies are shying away from committing capital to projects that could turn into money losers if crude and natural gas prices tumble significantly. Royal Dutch did boost its capital spending plans by $4-billion (U.S.) this year to $19-billion. But the price it uses to gauge the economics of projects remains at $25 a barrel, less than half the level at which crude is now selling. At the same time, the company has spent massive amounts to repurchase stock. Over the past year, Royal Dutch spent $5-billion buying back its own shares or those of subsidiaries — and has said it will continue that strategy in 2006. Many foreign companies set up publicly traded Canadian subsidiaries several decades ago when nationalist sentiment ran strong. Most of these minority stakes have been bought back in recent years, and several sources report that Royal Dutch Shell is looking at joining the trend. Foreign parents that have taken subsidiaries private include E.I. du Pont de Nemours & Co., Campbell Soup Co. and Ford Motor Co. In each case, minority shareholders pushed hard to get top dollar, often forcing the parent companies to improve their opening bids. No outside investor owns more than 2 per cent of Shell Canada, according to data compiled by Bloomberg News. Several major mutual fund companies each hold about 1 per cent of the company. Royal Dutch Shell sports a $205-billion market capitalization, so it could certainly afford to buy out its Canadian offspring. The question is whether the purchase would take place at a price that makes sense for the parent. The European company is reviewing other options for its Canadian operations, according to sources in the financial sector, including additional capital investment and external acquisitions. Shell Canada's crown jewel is its 60-per-cent stake in the Athabasca Oil Sands Project. The Dow Jones wire service quoted one Shell executive as saying that some of the company's senior managers favour a minority buyout in Canada. The executive was quoted as saying further simplifying Shell's structure could help the parent boost profits. In Europe, Shell has been through a restructuring that saw the merger of Shell Transport and Trading and Royal Dutch Petroleum, the two companies that formed the Royal Dutch Shell group since 1907. UPDATE 2-Shell ships first crude cargo from Nigeria's Bonga Tue Jan 3, 2006 11:28 AM GMT (Adds cargo headed for France, other details) ABUJA, Jan 3 (Reuters) - Royal Dutch Shell <RDSa.L> shipped 200,000 barrels of crude oil from Nigeria's Bonga, the first cargo from the deepwater oil and gas field which started producing in November, a Nigerian arm of Shell said on Tuesday. The company said the shipment involved the pressurised transfer of crude from the Bonga Floating Production Storage and Offloading (FPSO) vessel to the offshore loading buoy and onto the ocean-going tanker. "Some 200,000 barrels of crude were loaded on board the vessel Arion, which completed off take at about 13:30 hours on Dec. 29, 2005, before departing the field," the Shell Nigeria Exploration and Production Company (SNEPCO) said in a statement. A SNEPCO spokesman said the Arion was headed for France. Oil production at Bonga is expected to ramp up to some 200,000 barrels per day (bpd) in 2006 and the project has a target "nameplate" production of 225,000 bpd and 150 million standard cubic feet of gas per day, SNEPCO said. The firm said Bonga's offshore loading buoy was the world's first, largest and most technologically advanced polyester moored deepwater buoy. The transfer to the buoy was done via a nearly 2.5-kilometre-long dynamic flexible pipe. The 60-square-kilometre field is located in water depths of more than 1,000 metres. "It is a technological triumph that Shell is successfully producing oil and gas from Nigeria's deepwater frontier and we have capped that achievement with today's first shipment," SNEPCO's Managing Director Chima Ibeneche said. Bonga started production in late November after repeated delays and cost overruns. It cost some $3.6 billion to develop, up from an initial $2.7 billion estimate, and startup came more than two years after Shell's original target date. Bonga is the first of a series of large-scale deepwater projects set to provide the bulk of Nigeria's forecast growth in oil production from 2.4 million bpd to 4 million bpd by 2010. SNEPCO operates the Bonga field on behalf of state-owned Nigerian National Petroleum Corporation (NNPC) under a production sharing contract. Other partners in the concession are ExxonMobil <XOM.N> with 20 percent, France's Total <TOTF.PA> and Italy's Eni <ENI.MI> with 12.5 percent each.

Shell schikt met CFTC AMSTERDAM (Dow Jones)--Oliemaatschappij Royal Dutch Shell heeft een schikking getroffen met de Commodity Futures Trading Commission (CFTC) en zal 300.000 dollar betalen, meldt Shell woensdag. De schikking is getroffen omdat de CFTC Shell heeft beboet voor het vooraf opzetten van transacties in ruwe-oliefutures door een handelaar op de New Yorkse termijnmarkt Nymex. Hazira operations not for sale: Shell Press Trust of India / New Delhi January 05, 2006 Royal Dutch/Shell, the world's third largest oil and gas firm, today said its $600 million Hazira liquefied natural gas (LNG) import terminal in Gujarat was fully operational, and the company had no plans to sell it off. "Hazira is not shutting down. It is operational. The plant is up and running," Marc Den Hartog, India director for gas and power of Shell, said today. He said the 2.5 million tonne Hazira LNG import and regasification terminal and port were fully operational. "The LNG terminal is and remains a viable investment for Shell. While we are open to welcoming equity participation based on value addition, we are not interested in a sell out." "Shell is a long term investor. We are here to stay. We are not selling off Hazira," he said, adding the company was open to taking more equity partners but Hazira would remain a Shell-owned and operated project. Shell, which began operating India's second LNG terminal in April 2005, has till now imported only three cargoes of LNG as it was unable to find customers willing to pay the market price of $8-9 per million british thermal unit (MBTU). The market price was roughly double the cost at which Petronet LNG was selling regasified LNG from its Dahej terminal in Gujarat. "Finding customers at market price is a problem even though some industries in the north are paying $13-14 per MBTU for naphtha," Hartog said.
Shell Awards S'pore Petchem Plant Engineering Contracts SINGAPORE -(Dow Jones)- Shell Eastern Petroleum (Pte) Ltd. is taking its planned petrochemical project in Singapore another step further, by awarding two basic design engineering packages for the complex. The first package is the basic design engineering package for a 750,000 metric-ton-a-year mono-ethylene glycol plant, awarded to Mitsubishi Chemical Engineering Corp. and Foster Wheeler Energy Ltd., Shell said in a statement Thursday. Foster Wheeler is likely to provide engineering, procurement and construction management following a final investment decision that is expected later this year. Shell also awarded a separate contract for the basic design engineering packages for the modifications to Shell's Bukom refinery to another Foster Wheeler unit, Foster Wheeler Asia Pacific Ltd. These modifications are key to integrating Shell's existing refinery with the new ethylene cracker complex. The ethylene cracker is scheduled for completion in 2009. Shell-raffinaderij Pernis getroffen door storing AMSTERDAM (ANP/RTR) - De olieraffinaderij van Shell in Pernis, met een capaciteit van 418.000 vaten per dag de grootste in Europa, is donderdag door een stroomstoring getroffen. Dat heeft Shell bevestigd. Over de oorzaak en gevolgen kan het olie- en gasconcern nog niets zeggen. Eerder bevestigde de politie dat er gas werd afgefakkeld, zichtbaar door grote vlammen uit de pijpen. Er was volgens de politie geen sprake van brand.
Shell legt chemische divisie raffinaderij Pernis stil AMSTERDAM (Dow Jones)--Olieconcern Royal Dutch Shell heeft donderdag de chemische divisie van zijn raffinaderij in Pernis volledig stilgelegd. "Als gevolg van de electriciteitsproblemen eerder vandaag zijn onze chemische fabrieken uit voorzorg gesloten", aldus een woordvoerder van het Brits-Nederlandse olieconcern. De woordvoerder voegt eraan toe dat het besluit geen gevolgen heeft voor de chemische operaties van Shell in Moerdijk. Shell geeft ruim 4,8 miljoen aandelen A uit AMSTERDAM (ANP-AFX) - Oliemaatschappij Royal Dutch Shell geeft ruim 4,8 miljoen zogeheten aandelen A uit. Dat heeft het concern vrijdag bekendgemaakt. De aandelen hebben een nominale waarde van 7 eurocent. De uitgifte van de aandelen volgt op de omwisseling van alle obligatieleningen van Shell Petroleum NV met een looptijd tot 2009. Deze leningen waren verstrekt aan een aantal houders van aandelen Royal Dutch Petroleum Company bij de samenvoeging van dit bedrijfsonderdeel met Shell Petroleum op 21 december 2005. Na deze emissie staan er bijna 4 miljard aandelen A uit. Shell is overigens actief bezig met het inkopen van eigen aandelen. Het bedrijf verwacht hiervoor tot 5 miljard dollar uit te trekken.
Shell wil Indiase LNG-terminal niet verkopen AMSTERDAM (ANP-AFX) - Oliemaatschappij Shell ontkent geruchten dat het van plan is de terminal voor vloeibaar aardgas (LNG) in de Indiase stad Gujarat te verkopen. Dat schrijft het vakblad Upstream vrijdag. De zogeheten Hazira-terminal is volgens het blad 660 miljoen dollar waard. Volgens Marc den Hartog, directeur voor het Indiase Shell-onderdeel Gas & Power, is en blijft Hazira een levensvatbare investering. "We staan open voor investeringen van derden, maar van een verkoop is geen sprake", aldus Den Hartog in Upstream. Volgens het blad hebben er slechts drie gastransporten plaatsgevonden sinds de LNG-terminal in april 2005 in gebruik werd genomen.
Shell heft ’force majeure’ in Nigeria op AMSTERDAM (Dow Jones) - Shell Petroleum Development, een Nigeriaanse unit van Royal Dutch Shell, heeft de zogeheten ’force majeure’ betreffende de export van olie van de Bonny Terminal opgeheven. Shell riep deze ’force majeure’, een situatie van overmacht die het bedrijf vrijwaart van eventuele claims vanwege tekortschietende leveringsverplichtingen, twee weken geleden uit. De Brits-Nederlandse oliemaatschappij deed dat nadat de unit getroffen werd door een explosie in een pijpleiding die ruwe olie naar de raffinaderij moet aanvoeren. Shell heeft de schade inmiddels hersteld en geleidelijk aan de toevoer naar de raffinaderij op gang gebracht, aldus een woordvoerder. "De force majeure is vervolgens vanmiddag om 15.00 uur lokale tijd opgeheven."
Pensioenfondsen klagen Shell aan in VS AMSTERDAM (ANP) - Een groep van 26 Nederlandse pensioenfondsen eist honderden miljoenen dollars van Shell naar aanleiding van de reservekwestie. De pensioenfondsen, waaronder het ambtenarenfonds ABP, hebben de zaak tegen het olieconcern bij een rechtbank in de Amerikaanse staat New Jersey aanhangig gemaakt. Dat liet de advocaat van de groep, het Amerikaanse kantoor Grant & Eisenhofer, maandag weten. Shell betwist de vordering. "Maar we zullen ons met verve verdedigen in deze procedure", aldus een woordvoerder. Shell schokte in januari 2004 de financiële markten met de onthulling zijn olie- en gasreserves te hebben overschat. Hierop daalde de koers van het aandeel. De pensioenfondsen, die gezamelijk 5 procent van de aandelen houden, eisen compensatie voor de geleden schade. Uiteindelijk moest Shell de reserves in vijf stappen in totaal met bijna een derde afwaarderen. Behalve het bedrijf worden ook individuele bestuurders aangeklaagd, onder wie de huidige topman Jeroen van der Veer en voormalige bestuurder Philip Watts. De pensioenfondsen willen ook geld zien van de accountantskantoren KPMG en PricewaterhouseCoopers. Deze hebben volgens de beleggers verzuimd de reserveboekhouding van Shell goed te controleren. Het ABP eist 150 miljoen dollar schadevergoeding. "Shell heeft in de jaren 1997 tot en met 2003 onjuiste informatie verstrekt over de hoeveelheid reserves waarover het concern beschikte", aldus een woordvoerder van ABP. Het ABP nam oorspronkelijk deel aan een gezamelijk rechtszaak, ook wel class action genoemd, die groepen beleggers in de VS hadden aangespannen tegen het Nederlands-Britse olieconcern. "Maar op 8 januari verliep de verjaringstermijn. Als Europees bedrijf loop je dan het risico buiten deze zaak te worden gezet en een schadevergoeding mis te lopen", aldus het ABP. Ook het pensioenfonds voor de zorgsector PGGM, dat in 2004 voor 700 miljoen euro aandelen hield in Koninklijke Olie, sluit zich aan bij de door ABP geïnitieerde aanklacht. PGGM moet nog uitzoeken hoeveel schadevergoeding het gaat eisen. Shell schikte vorig jaar de reservekwestie met de Amerikaanse toezichthouder SEC voor 120 miljoen dollar en het concern betaalde de Britse beurswaakhond FSA 25 miljoen euro. Een class action-zaak die voormalige Shell-werknemers in de Verenigde Staten tegen hun voormalige werkgever hadden aangespannen, werd van de zomer geschikt voor 90 miljoen dollar. Eerder besloot het Amerikaanse ministerie van justitie Shell niet te vervolgen. De reservekwestie was aanleiding voor Shell om afstand te doen van de bijna 100 jaar oude duale organisatiestructuur. De oliemaatschappij besloot onder druk van beleggers de Nederlandse en Britse tak van het concern samen te voegen in één onderneming onder leiding van één bestuur.
Shell en VW bestuderen productie biobrandstof DETROIT (Dow Jones) - Olieconcern Shell en autofabrikant Volkswagen (VW) bestuderen de mogelijkheden voor de gezamenlijke productie van biobrandstof in Duitsland. Dat zegt CEO Bernd Pischetsrieder van VW zondag op de Detroit Motor Show. In de komende drie maanden zullen de bedrijven kijken naar het economisch potentieel van biobrandstof. De speciale brandstof kan de uitstoot van CO2 met 90% verminderen in vergelijking met conventionele brandstoffen.
Shell Starts New Output From Brunei Field Ahead Of Time Tuesday January 10, 8:55 AM EST LONDON -(Dow Jones)- Royal Dutch Shell PLC (RDSB) (RDSB.LN) said Tuesday it has started crude production from Phase III of its Champion West field, offshore Brunei, two months ahead of schedule. Shell said the well had showed an initial flow of 16,700 barrels a day. The field is operated by Brunei Shell Petroleum Co Sdn Bhd, Shell's joint venture with the Brunei government. Champion West is also producing gas and by 2010, almost a quarter of BSP's gas production will come from this field, it added. The unit said the reservoir is one of the largest undeveloped resources in Brunei and will deliver new material oil and gas production for the next 20 years and beyond. Years ago, the companies began selling off aging fields and focusing on overseas oil and gas deposits. But high natural gas prices and new technologies are luring them back into under-explored areas such as central Arkansas. Shell spokeswoman Kelly Op de Weegh said the acquisition was part of a strategy to increase gas production. The Fayetteville Shale, like the Barnett Shale near Fort Worth, Texas, is a so-called unconventional resource. There is a large amount of natural gas known to be trapped in the shale, but extracting it economically can be a challenge. Producers typically drill into the shale and fracture the dense rock formations by pumping in water under high pressure, then sucking the gas out. The Fayetteville field has been dominated by smaller gas producers Southwestern Energy Co. of Houston and XTO Energy Inc. of Fort Worth. In August, Shell became the first major oil company to enter the Barnett field by purchasing the rights to explore 25,000 acres. In the last five years, the Barnett has skyrocketed from negligible production to becoming one of the top gas-producing fields in the United States. Producers are hoping the Fayetteville field, with similar geology, will follow a similar trajectory.
Beslaglegging Shell-eigendommen in Nicaragua LIMA/MANAGUA (ANP) - Een rechter in het Centraal-Amerikaanse Nicaragua heeft de beslaglegging bevolen van eigendommen van Shell in het land. Dat meldt het persbureau Prensa Latina zaterdag. Het bevel van vrijdag volgt op een uitspraak van een andere Nicaraguaanse rechtbank in december 2002. Die bepaalde dat het Brits-Nederlandse olieconcern 490 miljoen dollar aan schadeloosstelling moet betalen aan 500 medewerkers van een bananenplantage. De medewerkers zouden ziek zijn geworden na het werken op plantages met het pesticide Nemagon, dat in de jaren zeventig door onder andere Shell werd geproduceerd. Het bestrijdingsmiddel is sinds 1979 verboden in het Westen, maar zou nog tot in de tachtiger jaren zijn geëxporteerd naar diverse landen in Centraal-Amerika. De directeur van Shell-Nicaragua, Mauricio Aranda, heeft in een reactie op de beslaglegging laten weten dat de uitspraak geen juridische geldigheid heeft. Volgens Aranda is Shell-Nicaragua een onafhankelijke juridische entiteit en gaat deze zaak haar niet aan. Na het bekend worden van de uitspraak verzamelden enkele honderden bananenplukkers zich bij tankstations van Shell in de hoofdstad Managua. Zij eisten compensatie voor de geleden schade. Het bestrijdingsmiddel Nemagon leidt tot steriliteit bij mensen die er langdurig mee in aanraking zijn geweest. Dat heeft het olieconcern maandag bekendgemaakt in een persbericht. Het gaat om het blok WA-371-P, waarin Shell een belang van 100% heeft. Shell stelt de komende drie jaar seismische studies te willen uitvoeren en zo'n twaalf bronnen te willen aanboren. Shell laat verder weten dat er 'significant' potentieel is voor een aanvullend programma voor de drie jaar daarna. Shell may sell LNG to GSPC Shell will reportedly sign an initial agreement with India's Gujarat State Petroleum Corporation for the supply of 14 million tonnes of liquefied natural gas from the Gorgon LNG project in Australia. Reuters quoted a source as saying that Shell would supply 700,00 tonnes of LNG per annum to GSPC at about $4.50 per million British thermal units from 2010 onwards. The LNG will then be sent to Shell’s Hazira LNG import project in Gujarat, India, which has been trying to secure new customers after GSPC stopped taking volumes due to rising gas prices. The supermajor had said last year that it would ship its 2.5 million tpa share of Gorgon LNG to a new import terminal to be built in northern Mexico to supply the US West Coast.

Dat meldt Het Financieele Dagblad dinsdag. verkoop in delen zou kunnen leiden tot een hogere opbrengst dan afstoting van de activiteiten als e e n geheel. De lpg-tak heeft volgens de krant een waarde van circa $ 2 mrd. Shell was aanvankelijk van plan om het lpg-distributiebedrijf in e e n keer te verkopen als onderdeel van het grootscheepse desinvesteringsprogramma. Maar uit de reactie van gegadigden zou de oliemaatschappij hebben geconcludeerd dat de totale opbrengst mogelijk hoger uitvalt bij opsplitsing van de activiteiten. 'We laten nu nadrukkelijk de mogelijkheid open om deze belangen in delen te verkopen', aldus een woordvoerder van Shell in een toelichting op het verkoopproces tegenover het FD. De maatschappij heeft begin dit jaar een shortlist samengesteld van partijen die interesse hebben getoond in overname van de lpg-activiteiten. Daarmee is een aantal andere gegadigden afgevallen. Wie er zijn overgebleven, wil Shell volgens de krant niet zeggen. Alleen de Spaans-Argentijnse oliemaatschappij Repsol heeft officieel bevestigd zich als kandidaat-koper te hebben gemeld. Ook investeringsgroepen hebben belangstelling getoond, waaronder PAI Partners of France, dat daartoe optrekt met het Amerikaanse Bain Capital. Daarnaast circuleren de namen van de investeerders BC Partners en Kohlberg Kravis Roberts & Co in een combinatie met Goldman Sachs Capital Partners.
