Ja hoor - als de koers van 55 naar 19,50 gaat en Bridgewater wordt dan pas wakker.... dan is het waarschijnlijk terecht dat Ray zijn pensioen heeft aangekondigd.. (Lijkt een beetje het JET aandeel waar traders die al 100 jaar rondhangen op IEX nu zeker weten dat de koers gaat dalen.. lijkt me eveneens vrij laat om wakker te worden) Management ziet het vrij zonnig in:investoren.vonovia.de/news-und-publik... Deze presentatie is een F*ck You!! naar de kapitaalmarkten/hedgefunds - ze hebben de kapitaalmarkten de komende 2 jaar niet nodig denken ze - en gaan gewoon hun eigen plan trekken. Rating Action: Moody's downgrades Vonovia to Baa1, outlook stable 01 Nov 2022 Frankfurt am Main, November 01, 2022 -- Moody's Investors Service ("Moody's") has today downgraded Vonovia SE's (Vonovia) long-term issuer and senior unsecured ratings to Baa1 from A3 as well as Vonovia's senior unsecured debt issuance programme rating to (P)Baa1 from (P)A3. The outlook remains stable. The rating action reflects the changed operating environment for Vonovia, with strongly rising interest rates weakening the outlook for property values and substantially increasing the marginal cost of debt. This will weaken Vonovia's credit metrics over time and make the execution of its large disposal programme more challenging. RATINGS RATIONALE Given the current marginal cost of funding and a rising trend of interest rates, property value declines in Germany are inevitable in our view. Vonovia's EPRA net initial yield was below 2.5% as of June 2022, while any party attempting to buy residential property portfolios using debt will likely pay materially more interest. We cannot forecast particular value declines, but we have included 10% value declines in our assumptions until year-end 2023. Vonovia is committed to deliver the company through asset sales and reducing cash outflows in maintenance and capital spending. The company has identified assets amounting to EUR13 billion for potential disposal in addition to joint ventures, which would substantially mitigate the impact of rising rates and falling property values if successful. At the same time, in today's market environment, we believe that substantial disposal volumes will be difficult to achieve without more material discounts. We have assumed a total of EUR 3-4 billion proceeds from disposals, individual unit sales or other types of exposure reductions until end of 2023 in our projections (including disposals at Deutsche Wohnen SE). Strongly changed interest rates will reduce fixed charge cover. Vonovia has a well-spread debt maturity profile, but it has funding needs from refinancing and capital spending. Hence disposal success will be a key driver for the speed at which average interest cost rise for the company. As a consequence of our assumed value declines and asset disposals, Vonovia's Moody's-adjusted debt to gross assets will likely remain above 45% by end of 2023. Fixed charge cover will decline towards 3.3-3.9x, but we recognise that the volume and timing of refinancing and asset disposals can have meaningful impact on our forecast. Net debt/EBITDA will decline to 15-16x from current 18.6x also due to one quarter of Deutsche Wohnen SE earnings not yet contribution to the last twelve months EBITDA. The operational stability of Vonovia remains largely intact in our view. Regulation and supply constraints mean cash flows remain predictably stable to moderately increasing. If anything, supply shortage will increase due to lower volumes of construction, making changes to regulation the main operational risk without tangible risks of shorter term changes. Concerns around tenant health exist, but so far we have not assumed a material change to moderate but steady rental increase expectations. Consequently Vonovia's rating continues to benefit from its stable and highly regulated residential rental markets in Germany, Sweden and Austria. The rating also benefits from a good competitive situation in the challenge to meet environmental targets, recurring funding and earnings potential from an established sales programme from newly developed or existing properties; good access to debt capital with a well-spread maturity profile, a good level of unencumbered assets and well diversified funding sources. LIQUIDITY Vonovia's liquidity is adequate. Its major liquidity needs are refinancings and capital spending on its portfolio. Leaving aside expected proceeds from divestments, the company faces around EUR 5 billion of debt maturities as of June 2022 until the end of 2023, with additional EUR 4.7 billion in 2024. The company has guided to EUR 1.3-1.5 billion of capital spending for 2022, and we would expect this volume to be similar to slightly lower going forward. As of 30 June 2022, Vonovia had around EUR 1.5bn of unrestricted cash plus more than a billion Euro in marketable securities and short-term financial assets. Its around EUR 3.3 billion revolving facilities were completed undrawn with the largest part maturing in 2024. Vonovia also retains around 30% of its guided EUR 2-2.1 billion group FFO after dividends in addition to regularly used scrip dividends. In the next 12-18 month, we expect Vonovia to focus on taping more secured debt next to using disposal proceeds to pay down debt. Vonovia's maintains sufficient covenant headroom. While covenants on loans vary, the most relevant bond covenants at this point are 60% LTV (vs 43.1% reported) and unencumbered assets to unsecured debt >125% (vs 163% reported). FACTORS THAT COULD LEAD TO AN UPGRADE OR DOWNGRADE OF THE RATINGS An upgrade could occur if - Moody's-adjusted fixed charge cover remains sustainably above 3.5x despite rising rates - Moody's-adjusted debt/total assets reduces towards 40% - Vonovia further reduces secured debt to increase effective volumes that can be funded in the bank market - Regulatory, political and market conditions for the German rental housing sector revert back to a favourable environment allowing sustained strong rental growth - Net debt/EBITDA sustaining below mid-teens A downgrade could occur if - Unfavourable changes to property regulation or market conditions in Germany - Moody's-adjusted fixed charge coverage reduces to below 3x - Moody's-adjusted debt/total assets fails to stabilise materially below 50% - Vonovia fails to keep financial flexibility with access to secured debt to fund 1-2 years of maturities or otherwise weakens its liquidity profile
Logisch verhaal van Moody's, dit zat er al even aan te komen. Een EPRA NIY beneden 2,5% is extreem, dat had ik niet teruggelezen in de halfjaarcijfers 2022 en zou betekenen dat Vonovia in het eerste halfjaar van 2022 veronderstelde dat yields zijn gedaald aangezien per jaareinde 2021 de NIY 2,6% was. Een NIY daling bij stijgende kapitaalmarktrente gedurende het eerste halfjaar van 2022 is moeilijk te begrijpen. Deze week volgt Vonovia met de Q3 cijfers, benieuwd of er iets meer te melden is over herfinancieringen en het aangekondigde desinvesteringsprogramma. Ik verwacht nog weinig nieuws, in deze markt zijn transacties lastig en management zal de desinvesteringen over langere periode spreiden. Bij beperkte voortgang zal Vonovia moeten aansturen op binnenhouden van resultaat (i.c.m. capex verlaging) zodat hiermee de herfinancieringsbehoefte wordt verlaagd, mogelijk door stock dividend af te dwingen vanuit een aantrekkelijke conversiegraad.

Q3 rapportage is zeer uitgebreid en biedt al een vrij scherpe 2023 outlook (blz. 18/19), FFO zal ietsje dalen in 2023 (door hogere rentelasten) tot ongeveer € 2,0 miljard en investeringen worden vanwege de hogere kapitaalkosten verlaagd naar € 0,85 miljard (€ 0,50 miljard modernisatie, € 0,35 miljard nieuwbouw). Sheet 17 toont het afloopschema (per kwartaal) van financiering, waarbij Vonovia meldt dat de 'secured financing' (€ 1,5 miljard in 2023) zal worden doorgerold door 'secured financing' en de bonds (€ 2,7 miljard in 2023) 'expected to be mostly retired with available liquidity and free cash flow generation from operating business and disposal proceeds'. Wat betreft de bonds herfinancieringsbehoefte (of aflossing uit beschikbare middelen), zal dit dus grotendeels afhangen van de voortgang van de desinvesteringen. Sheet 41 toont dat de Vonovia vastgoed(boek)waarden per m2 ruim onder marktwaarde ligt, vooral omdat Vonovia huren beneden markthuren liggen. Indien Vonovia een deel van de portefeuille tegen hogere markthuur kan verhuren of vrij van verhuur kan verkopen, dan kan er een boekwinst worden gerealiseerd (wat huidige te lage NIY kan verantwoorden). Q3 cijfers zijn op zich niet erg verrassend, maar wellicht dat het brede inzicht en het voldoen aan de verwachting aanleiding zijn om de koers wat omhoog te drukken. Vonovia geeft aan dat het waarschijnlijk is dat portefeuille herwaardering in Q4 (jaareinde) zal leiden tot een negatieve herwaardering die 'low single digit' is. Wat Vonovia nu meeneemt aan desinvesteringen in 2023 (3.000 - 3.500) zijn vooral losse appartementen verkopen in de grote steden, gezien de grote vraag/aanbod onbalans in deze steden en de hogere waarde van aanbod (vrij van verhuur) verwacht Vonovia deze desinvesteringen tegen goede prijzen (met boekwinst ca. 25%) te kunnen realiseren. Extra verkopen vanuit het desinvesteringsprogramma (o.a. mogelijke JV partners) en desinvestering van de DW 'nursing business' zijn niet meegenomen in de 2023 outlook en kunnen leiden tot een verbeterde liquiditeitspositie (maar mogelijk lagere FFO i.v.m. lagere huurinkomsten na verkoop). Met de gehanteerde aannames én een cash dividend betaling (t.h.v. ca. 70% FFO = ca. € 1,75 per aandeel) verwacht Vonovia in 2023 de € 2,7 miljard aan aflopende bonds af te lossen vanuit beschikbare cash flow en in 2023 alleen tot herfinanciering over te gaan van de € 1,5 miljard aan secured financiering. Door de hoge mate van detail informatie (zonder groot nieuws) en een duidelijke outlook 2023 met plan wat betreft de herfinancieringen (de grote marktzorg) samen met een investor call biedt dit een geruststellende update. Andere vastgoedfondsen bieden vaak een summiere kwartaalupdate (maar zijn kleiner in omvang en hebben wellicht niet de capaciteit dit detail te delen) en kunnen hier een voorbeeld aan nemen.

Volgens mij is er geen dividend uitdeling verplichting voor Vonovia, omdat Vonovia geen REIT is maar een regulier DE beursgenoteerd (vastgoed)fonds met bijbehorende fiscale verplichtingen (income tax).
Ok, bedankt. Als die dividend uitkering optioneel is - wordt het op slide 18 vrij duidelijk waarom ze zich tot ver in 2024 weinig zorgen maken
LEG komt vandaag met de Q3 cijfers, en spreekt duidelijk uit dat de wijzigende markten reden zijn om de strategie aan te passen met een sterke focus op risicobeheersing en desinvesteringen (ipv investeringen), waarbij dividend uitdeling afhankelijk zal worden van (transactie)markt ontwikkelingen (>desinvesteringen) en niet als zekerheid kan worden gezien. Dividend wordt afhankelijk van cash ontwikkeling (AFFO) in plaats van resultaat. DIt is een voorzichtige toon, passend bij huidige marktomstandigheden, maar dit zal niet bij alle beleggers goed vallen aangezien korte termijn dividend onder druk komt. De transactiemarkt staat ongeveer stil, kopers en verkopers wachten af wat het nieuwe normaal is en waar de rente stabiliseert, waardoor de werkelijke waarde van het vastgoed moeilijk vast te stellen is. LEG verwacht dat boekwaarden in H2-2022 met 3-5% zullen dalen, eenzelfde (theoretische) waardedaling zal van toepassing zijn op de Vonovia portefeuille. Dit zal de LTV onder druk zetten. LEG wil de LTV beneden de 43% houden door zich meer te richting op desinvesteringen en geen nieuwe aankopen/projecten te starten. Als markten tegenzitten zal het resultaat ook worden ingehouden, door geen dividend uit te keren. LEG zakte vanmorgen 8% weg, en trok Vonovia wat mee. Onder huidige (kapitaalmarkt/rente) omstandigheden duidelijk dat de druk/onbalans op de (DE / NL) woningmarkt al groter zal worden. Investeren/bouwen is prijzig en kan niet uit (partijen stappen op de rem), maar de vraag naar woningen neemt toe (o.a. door migratie), waardoor veel mensen niet naar wens kunnen wonen.

The loan has a term of 8 years with attractive interest rates. Positief dat Vonovia geld weet op te halen, financiering wordt wel ingezet voor nieuwe investeringen in plaats van herfinanciering en het is de vraag hoe 'attractive' dit tarief is. Successful Bond Placement for Liability Management * Two unsecured bonds in social and green format with aggregate proceeds of €1.5bn * Weighted average coupon of 4.875% and weighted average maturity of 6.3 years * Issuance was almost 6 times oversubscribed * The issuance proceeds plus €500m from cash on hand to be used to tender for 2023 and 2024 bond maturities plus a potential repayment of other debt * The average duration of the maturity profile will not be materially impacted by Vonovia’s liability management In the context of a broader liability management, Vonovia placed two unsecured bonds yesterday: €750m with a 4.5-year tenor and an annual coupon of 4.75%. €750m with an 8-year tenor and an annual coupon of 5.00%. The issuances come on the back of high quality order books with more than 400 orders from 250 investors. 12 orders were placed with a volume of €100m and more. The bonds were issued in accordance with Vonovia’s framework for social and green bonds. This framework is compliant with the EU taxonomy. The proceeds of the bonds issuance plus an additional €500m cash on hand will be primarily used for a tender offer for the Euro-denominated unsecured maturities of 2023 and 2024 (the maximum volume of the tender will be limited to the volume of the new bond issuance plus additional €500m cash). Vonovia reserves the right to deploy parts of the bond proceeds to repay other debt where the maturity profile is not being materially impacted by such liability management. “This is an important step towards further derisking our 2023 and 2024 maturities, and I think we seized an attractive window for this part of our liability management. The depth and the quality of the order book demonstrate our unfettered access to the bond market on the back of our solid investment grade rating. We will continue our work on the secured financing and of course carry on with our sales efforts from a position of strength,” says Philip Grosse, Vonovia’s CFO. As communicated with the 9M 2022 results, Vonovia expects to roll over the secured financings for 2023 and 2024. The discussions with secured lenders are well advanced. Notwithstanding these negotiations and this bond issuance, Vonovia’s disposal efforts across the various sales channels are progressing, and proceeds from disposals can be deployed to delever further through bond buybacks across the full range of maturities.
Mij niet duidelijk waarom Vonovia de obligatiemarkt opzoekt, ik begreep eerder dat secured (hypotheken/banken) financiering meer aantrekkelijk (goedkoper) is. Andere vastgoedfondsen richten zich nu meer op secured debt, en ook Vonovia meldde eerder dat secured debt aantrekkelijker is. Nadat een grote koper (ECB) minder actief is op de obligatiemarkt, zijn de bond spreads minder aantrekkelijk. Vonovia fixeert nu ruim 2% boven swap rates, en het gemiddelde tarief van 4,875% is bijna dubbel zo hoog (!!) als de gemiddelde NIY in portefeuille (2,5%). Wellicht dat Vonovia beperkte capaciteit heeft om van bonds te switchen naar secured debt, en alleen herfinanciering van hypotheken mogelijk is (omdat anders meer vastgoed bezwaard wordt met hypotheken en dit obligatiehouders achterstelt). Vonovia heeft nu de zekerheid dat een groot deel van de op korte termijn aflopende bonds worden afgelost, maar ten koste van een hoge prijs. Komend halfjaar heeft Vonovia vooral aflopende secured financiering, ik ben benieuwd tegen welke voorwaarden (spreads) dit zal worden geherfinancierd. Ik verwacht weinig groot nieuws wat betreft het grote desinvesteringsprogramma, Vonovia 'efforts are progressing' klinkt niet erg hoopvol aangezien dit niets zegt over markt respons en dit niet concreet is. Begrijpelijk, in deze onzekere markt zijn transacties schaars en vissen vooral de koopjesjagers. Het langer vastleggen van de financiering verlaagt druk op Vonovia om snel te verkopen, waarbij Vonovia vast wilde benadrukken dat het desinvesteringsplan niet volledig on hold staat.

Op sheet 17 meldt Vonovia over "Debt Maturity Schedule 2023 & 2024": • Secured financing expected to be rolled over. • Bonds expected to be mostly retired with available liquidity and free cash flow generation from operating business and disposal proceeds . Opmerkelijk dat Vonovia hierna toch € 1,5 miljard aan nieuwe bonds uitgeeft, ter aflossing van 2023/2024 bonds. Wellicht dat Vonovia dacht dat dit (door iets gedaalde swap rates) een "attractive window" was en een kans die niet gemist kon worden. Het lijkt alsof Vonovia vooral op safe speelt en de afhankelijkheid van desinvesteringen (t.b.v. bond aflossing) wil reduceren, omdat duidelijk is dat desinvesteringen op korte termijn niet goed lukken. Het management idee om mogelijk tot een aandeleninkoop over te gaan vanuit de opbrengsten van desinvesteringen (zoals tijdens halfjaarcijfers besproken) is in ieder geval weg, nu Vonovia meldt dat "proceeds from disposals can be deployed to delever further through bond buybacks across the full range of maturities". Op zich geen onverstandige keuze, de LTV is wat hoog en boekwaarden zullen wat dalen vanwege de te lage NIY (ca. 2,5%). Management deelt nu wat minder de stellige overtuiging dat boekwaarden hard zijn, bij de halfjaarcijfers meldde de CEO nog dat EPRA NTA in tweede halfjaar 2022 zou moeten stijgen (dat lijkt nu niet goed mogelijk). Terugkoop van obligaties met langere looptijden kan tot een aardige boekwinst leiden. Wel is de kans groot dat desinvesteringen vooral lukken wanneer de markt is gestabiliseerd en yields zijn gedaald, en op dat moment is de discount grotendeels uit de langlopende bonds geslopen.
Inderdaad een verrassing dat ze bonds uitgeven, maar maximaliseert wel hun flexibiliteit Boekwinsten op teruggekochte obligaties boeken - en tegelijk boek verliezen op woningen rapporteren is een mooie manier om de indirecte resultaten " vrij irrelevant" te laten zijn. Kan werken, denk wel dat ze wat energie moeten steken in het meenemen van de kapitaalmarkten in hun zienswijze

Als het niet goed lukt om de secured funding te herfinancieren tegen redelijke voorwaarden, dan kan dit kassaldo worden aangewend om de secured funding af te lossen. Vonovia is door deze acties op korte termijn minder afhankelijk van financieringsomstandigheden, maar het gemiddelde tarief op schulden zal wel stijgen (wat het resultaat vanaf 2023 raakt). Ik ben wel wat geschrokken van het tarief op de nieuwe bonds (4,875%), het dubbele van de huidige NIY in portefeuille. Waarschijnlijk dat secured funding (hypotheken) tegen lager tarief (ca. 4,0%?)op te halen is, dit moet binnenkort blijken aangezien Vonovia een aantal aflopende lijnen binnenkort wil doorrollen. Echter een flinke afwaardering (NIY verhoging) lijkt bij deze omstandigheden onvermijdelijk, zoals verwerkt in de beurskoers (met forse discount t.o.v. NTA).
Teken van krach denk ik - het vervroegd doorrollen naar 8 jaar tegen 5% en terugkopen van oude leningen. Tegen de huidige discount van 60% vs NTA zie ik aandeelwaarde creatie model vrij zonnig in: (2,9% NIY/,4) =7,25 % "huur"rendement als je nu instapt vs een financieringslast die van nu gemiddeld 1,2% naar 5% oid gaat over 40% van het vermogen. Dat geeft meer dan voldoende ruimte voor aandeelhouderswaarde creatie op de lange termijn. Niet dat het relevant is wat ik denk - De grootte van de Call/Put maart posities van Goldman Sachs geeft aan dat er nog wat serieuze volatiliteit aan zit te komen bij dit aandeel (en wat ander europees vastgoed) indien de marktrentes "onverwacht" veranderen.

Fors rente tarief van 12,5% voor het kopen van extra tijd voor desinvesteringen (in de hoop op betere tijden). Op zich al knap dat er geld is opgehaald, aangezien de Adler boekhouding wordt betwijfeld (en KPMG zich terugtrok). Grootaandeelhouder Vonovia zal moeten afwachten of het 20,5% belang in Adler iets waard zal zijn.
