However, the pharma giant Pfizer made a remarkable start in 2009. Pfizer acquires its rival big pharma company Wyeth for about $68bn for stock and cash. This acquisition is said to be the one of the biggest in the pharmaceutical history. However, would it have been better for Pfizer to have acquired Amgen instead of Wyeth? Pfizer acquires Wyeth- Behind the Scene: Pfizer faces tough competition ahead, from generics after the expiry of its block buster drug Lipitor in 2011. Lipitor a cholesterol treatment drug, which generates around $ 13 billion a year, is facing patent expiration in 2011. Pfizer is set to face big challenges by 2012 not only from generics but also from investors because of the decline in R & D productivity. Though its pipeline has 200 products, there are no blockbusters to even the dent of around $30 billion left by the patent expiry of 13 drugs by 2014. Wyeth is also facing similar challenges from generic drugs for their anti-depressant drug Effexor, which generates around $ 3.92 billion annual revenues. Wyeth was planning to take over Crucell, a Dutch vaccine company. With Pfizer taking over Wyeth, the plans of acquiring Crucell have been dropped. Crucell share price slumped down to 12.60 euros because Wyeth has withdrawn from a possible merger. The combined pharmaceutical company (Pfizer and Wyeth) will be one of the biggest in history and is expected to maintain top position in the next 5 years. This acquisition will enhance the pipeline products for the therapeutic areas in Alzheimer’s disease, auto immune disease, inflammation, oncology, pain and others. Pfizer is expected to become the top player in vaccines, bio-therapeutics, animal health and consumer market. Pfizer will be a unique company with more than 15 products with $1.0 billion each in annual revenue. This strategic move from Pfizer also brings out a new business model, wherein no one product would generate more than 10% of the total company revenues. This is to move away from the dependence on a single blockbuster molecule as was the case with Lipitor (25% of the company revenues were from Lipitor). What Next? Most of the big pharmaceutical companies are facing decline in revenues and earnings in the next 5 years. The merger of Pfizer and Wyeth may be contagious and will trigger some big M&A activity in the pharmaceutical industry in forth coming weeks. The pharmaceutical industry is one of the cash-rich industries and this industry has seen the ravages of the current economic gloom. Though plagued with R&D challenges, patent expiries, generic competition and high drug attrition rates, pharmaceutical companies have resorted to various crisis management strategies to stay afloat during trying times. One of these strategies is M&A activities. With Pfizer taking a strong and bold step in this direction, there may be other companies to follow. The list below looks into the current available cash reserves in the industry in 2008. Pharmaceutical Companies - Cash Available*: Novartis: ~$ 15.00 billion Roche: ~$ 13.50 billion Johnson & Johnson: ~$ 13.00 billion Merck & Co: ~$ 10.00 billion GlaxoSmithKline: ~$ 9.50 billion Note - * Cash, short term investment and other equivalents as of 2008. A look at the possible M&A activities in future: 1. Sanofi Aventis - Crucell could be potential buy for Sanofi-Aventis as they deal with vaccines. Sanofi-Aventis could look at strengthening its position in the vaccines area. 2. Sanofi-Aventis has been vying for top position amongst the Pharma companies. Though this may be a distant dream after the Pfizer -Wyeth deal, Sanofi Aventis could forge a deal with Bristol-Myers Squib. This deal, if it happens, would push Sanofi-Aventis to number 2 after Pfizer. 3. Eli-Lilly and Takeda - They have been collaborating for the past years in the anti-diabetic drugs area and Eli-Lilly may find it beneficial to acquire or merge with Takeda. 4. Johnson & Johnson has a good basis for acquiring Vertex Pharmaceuticals because of the impressive past deals with Vertex and also the exciting pipeline consisting of drug candidates for cystic fibrosis and rheumatoid arthritis. 5. Bristol-Myers Squibb and Amgen can forge a deal in the future as BMS is always active in M&A activities and Amgen’s biotech pipeline can boost BMS’s position in the Pharma industry. How healthy is our Pharma Industry? Such enormous deals in the Pharma industry are not new and Pfizer has been part of larger deals in the past e.g. Pharmacia. Although, the deal may have brought good news for investors, an insight into the health of the Pharma market reveals interesting facts. As blockbusters fall off patent, organic growth has witnessed major hits. Pharma companies have resorted to inorganic growth through M&A. However, this growth cannot form a sustainable business model for long. This is a stopgap arrangement, in order to stay afloat during Lipitor patent expiration. Wyeth, facing similar circumstances, had to give into this deal to prevent itself from sinking too. The prime question arising out of such M&A activities is that, are these favouring innovation? Analysis reveals that ‘innovation’ is not the primary focus for these companies and these activities are just crisis management measures. These short term arrangements enhance their stock prices and are purely business oriented and not innovation oriented. Op Wall Street is de koers van Bristol-Myers Squibb gisteren ingevolge overnamespeculatie gestegen. Daarmee zou de consolidatie in de farmasector in een volgende fase belanden. Volgens The Financial Times zou Sanofi-Aventis met de banken onderhandelen over een kredietlijn om een grote overname te financieren. Het zou gaan om een bedrag van 20 miljard dollar. Bristol-Myers en Sanofi werken al samen, onder andere wat betreft bloeddrukverlager Plavix. De zet van Sanofi zou een antwoord vormen op de overname door Pfizer van Wyeth.

Depuis l'acquisition de Wyeth oar Pfizer, les rumeurs ne désenflent pas sur les rapprochements potentiels entre les laboratoires pharmaceutiques. Entre ceux qui y croient et ceux qui n'y croient pas, toutes les options sont ouvertes. D'autant que les prédateurs, disposant de cash suffisant pour se lancer dans des acquisitions, ne sont pas si nombreux. En effet, Novartis a déjà dépensé ses réserves de cash en avril 2008 en achetant 25% d'Alcon (spécialisé dans l'opthalmogie) à Nestlé pour 11 milliards de dollars. Une participation qu'il va pouvoir augmenter dès 2010 en prenant les 52% restants pour 29 milliards de dollars de plus. Bayer, pour sa part, paie toujours l'acquisition de Schering (pour 16 milliards d'euros en 2006) comme AstraZeneca qui digère son acquisition de MedImmune réalisée elle aussi en 2006 pour 15 milliards de dollars. Enfin, Roche est en train de lancer une offre de 40 milliards de dollars pour mettre la main sur Genentech. Il reste deux candidats aux mégafusions: Sanofi-Aventis et GlaxoSmithKline. Ce dernier a martelé qu'il ne souhaitait pas se lancer dans de grandes opérations qui ne sont pas forcément profitable. Un point de vue partagé par nombre d'experts. "Les très gros deals ont été assez destructeurs pour la recherche et développement (R&D) et personne ne veut payer cher une cible qui connaît les mêmes problèmes de déficit de nouveaux produits dans son portefeuille dus à la perte de brevet et à la baisse de la productivité de R&D", explique un observateur du secteur. Il ne resterait donc que Sanofi-Aventis. Le nouveau directeur général Chris Viebacher, un ancien de GlaxoSmithKline, vient de remplacer Gérard Le Fur. Sa mission est clairement de redynamiser la recherche et développement du groupe pour trouver des nouveaux relais de croissance. Et ces derniers mois les nouvelles n'ont pas été très bonnes: Sanofi-Aventis a arrêté les essais cliniques de son médicament phare, l'Acomplia (un médicament qui devait lutter contre l'obésité). Et le brevet de son blockbuster (produit qui génère plus d'un milliard d'euros de chiffre d'affaires), le Plavix va tomber dans le domaine public. Pour l'heure, et avant la publication de ses résultats le 11 février, le groupe ne veut pas commenter de possibles rapprochements entre groupes, mais selon le Financial Times, le directeur général aurait confirmé en interne sa volonté de poursuivre les acquisitions. Il n'en fallait pas plus pour placer Sanofi-Aventis sous le feu des projecteurs. D'autant que le groupe français a les moyens de participer activement à la consolidation du secteur. "Le laboratoire dispose d'une capacité de financement de près de 6 milliards d'euros par an et son endettement devient marginal. Le groupe peut donc lever jusqu'à quatre fois sa capacité de financement, un niveau qui correspond au financement de l'opération Roche/Genentech, et un tiers de la capitalisation boursière, soit 20 milliards d'euros peut être utilisé pour un échange d'actions. Sanofi-Aventis dispose théoriquement de près de 45 milliards d'euros pour des acquisitions", détaille un analyste. Avec ce pactole Sanofi-Aventis a plusieurs options. La première: se lancer dans les mégafusions. Il pourrait de fait se payer Bristol-Meyers Squibb, qui est valorisé à 35 milliards d'euros. Les deux groupes son partenaire de longue date aux Etats-Unis et leur gamme sont complémentaires géographiquement sur le plan des produits et des classes thérapeutiques, dans l'oncologie, la cardiologie, etc. Il pourrait aussi se rapprocher de GlaxoSmitKline. Ou s'intéresser à Biogen Idec, valorisé 12 milliards d'euros, qui lui permettrait de se diversifier sur le marché des anticorps monoclonaux. Autre possibilité: poursuivre sa politique d'acquisitions ciblées dans les biotechs, source de produits innovants, ou même dans les génériques. Sanofi-Aventis a déjà mis la main en septembre 2008 sur Zentiva pour 1,8 milliard d'euros. Une manière de contrer la montée en puissance des génériqueurs (fabricants de génériques). Une cible s'offre à lui: Ratiopharm, le cinquième fabricant de génériques mondial, valorisé à 3 milliards d'euros, qui vient de perdre son fondateur. Le laboratoire peut aussi chercher à se renforcer dans les vaccins, l'une des branches les plus dynamiques du groupe. En 2007, les ventes de vaccins ont bondi de 14,5% à 2,778 milliards d'euros, contre une croissance de 1,7% à 25,2 milliards d'euros pour l'activité pharmaceutique. Sanofi-Aventis a déjà acquis Acambis pour 285 millions de livres et pourrait poursuivre ses emplettes sur ce marché. Là encore un morceau de choix est disponible: Crucell vient d'être délaissé par Wyeth qui lui a préféré Pfizer. La société néerlandaise est abordable: 2,5 milliards d'euros. Nog geen bod gezien, maar de prijs blijft stijgen. Nu al 2,5 miljard. Op het moment van publiceren maakte de koers een sprongetje. Ik zou zeggen: laat ze zo lang mogelijk wachten met een bod. Het gerucht werkt weer eens beter dan het nieuws.

Ik weet niet of dit al gepost is geweest maar bij deze, dacht wel dat het interessant kon zijn. We expect Crucell to become profitable as of this year with an estimated cash level of around EUR 170m (USD 230m). We think that the take over talks also could trigger other pharmaceutical companies like Novartis and Sanofi Aventis to consider a talk over bid. Both companies are important partners of Crucell. Kortom. In het Nederlands, Sanofi heeft Acambis vorig jaar opgekocht en heeft er zelfs een premium van 65% op de waarde v/h aandeel voor betaalt.
En daarbij dan nog deze lijn. "Acambis had a much less developed pipeline and smaller marketshare in vaccines than Crucell" Daarnaast zie je 2.5 miljard al steeds meer als een mogelijke prijs opduiken. Nu nog een daadwerkelijk bod.
