Dat schrijft The Wall Street Journal donderdag. De krant baseert zicht daarbij op bronnen bekend met de situatie. BHP Billiton, het grootste mijnbouwbedrijf ter wereld, deed concurrent Rio Tinto onlangs een overnamevoorstel. Dit bod werd door Rio Tinto echter afgewezen. Dat heeft het in Melbourne gevestigde bedrijf woensdag bekendgemaakt. BHP Billiton stelt te blijven zoeken naar een mogelijkheid om met Rio Tinto te onderhandelen over het overnamevoorstel, gezien de significante waarde die alleen kan worden vrijgemaakt via een combinatie van de beide ondernemingen. Het bedrijf herhaalt daarbij de 'dwingende logica' van het voorstel om een aandeel Rio Tinto te ruilen tegen drie aandelen BHP Billiton. Rio Tinto, het op twee na grootste mijnbouwbedrijf ter wereld, heeft herhaaldelijk laten weten niet te willen praten over het overnamevoorstel van BHP Billiton, dat een waarde heeft van zo'n $ 137 mrd. Australische mijnbouwer verwerpt bod Xstrata SYDNEY (ANP) - Het Australische steenkolenbedrijf Resource Pacific heeft vrijdag het overnamebod van 960 miljoen Australische dollar (574 miljoen euro) van het Brits-Zwitserse mijnbouwconcern Xstrata verworpen. Volgens Resource Pacific is het bod 'eerlijk noch redelijk'. Xstrata bracht in december een bod uit op Resource Pacific van 2,85 dollar per aandeel in contanten. Daarmee overtrof Xstrata een bod van de lokale rivaal New Hope, die zijn bod vervolgens introk. Een onafhankelijk expert, die door Resource Pacific was ingehuurd, waardeert het bedrijf echter op 3,56 tot 4,09 dollar per aandeel. Op de beurs in Sydney sloot het aandeel Resource Pacific vrijdag onveranderd op 2,96 dollar. Xstrata is uit op de belangrijke Newpac-steenkolenmijn in New South Wales die Resource Pacific beheert. Volgens Resource Pacific produceert deze mijn vanaf 2010 jaarlijks 8 miljoen ton steenkool. Door de grote vraag vanuit Azië is de prijs van steenkool sterk gestegen. BHP Billiton investeert 80 miljard dollar 16 februari 2011, 9:12 | ANP SYDNEY (AFN) - Mijnbouwconcern BHP Billiton gaat de komende vijf jaar 80 miljard dollar (59 miljard euro) investeren in de groei van het bedrijf om aan de sterk stijgende vraag naar grondstoffen te kunnen voldoen. Dat maakte 's werelds grootste mijnbouwer woensdag bekend bij de bekendmaking van de halfjaarcijfers. De winst van het Brits-Australische concern steeg afgelopen halfjaar met 72 procent tot een record van 10,5 miljard dollar (7,8 miljard euro). De omzet klom met 39 procent tot ruim 34 miljard dollar (25,1 miljard euro). BHP Billiton profiteerde volop van de fors groeiende vraag naar grondstoffen, vooral vanuit China en India, en de sterk gestegen prijzen van onder meer koper, steenkool en ijzererts. BHP Billiton wil onder meer extra investeren in Australische koper- en uraniummijnen en in kaliumprojecten in Canada. Het bedrijf zei verder dat een aandeleninkoopprogramma meer dan wordt verdubbeld tot 10 miljard dollar.
Corporate News: BHP Says It Will Buy Shale Gas Holdings By Gina Chon and Robert Guy Matthews 660 words 22 February 2011 The Wall Street Journal J B3 English BHP Billiton Ltd. said Monday that it is acquiring Chesapeake Energy Corp.'s Fayetteville shale gas holdings in Arkansas and some pipeline assets in a deal totaling about $4.75 billion in cash. Earlier this month, Chesapeake announced plans to sell about 487,000 acres of its Fayetteville shale holdings as part of a plan to reduce its debt by 25% in two years. The deal would increase BHP's gas reserves and resources by 45%. BHP's move to acquire Chesapeake Energy's assets comes just three months after it dropped its hostile bid to buy Canada's Potash Corp. of Saskatchewan Inc. for $38.6 billion. BHP failed to win over the Canadian government, which had the right to reject such an acquisition. With investors clamoring for cash instead of large acquisitions, BHP announced the resumption of a $4.2 billion share buy-back, which was recently expanded to $10 billion. Also last year, BHP and Rio Tinto Ltd. dropped a joint-venture agreement after facing regulatory hurdles. A hostile BHP bid for Rio Tinto in 2008 also faced opposition government authorities. Since then, BHP had said that it would invest $80 billion in mining and petroleum projects but that it was still open to other acquisitions, particularly in the oil and gas sector, despite the setbacks it has faced in making deals. The Chesapeake acquisition is expected to add nearly $1 billion to that $80 billion figure. BHP said it doesn't expect any insurmountable regulatory problems with Chesapeake Energy. Its petroleum chief, Michael Yeager, said the company has the backing of the Arkansas governor and has met with the environmental Protection Agency and other regulators. He also said that he didn't believe there were any antitrust issues. "We are confident we don't reach any sort of critical market share here," Mr. Yeager said. BHP Chief Executive Marius Kloppers had hinted earlier this month that the company might be looking to expand its energy portfolio before further expanding in mining and metals. During an earnings conference call, he noted that commodity prices for mining metals and minerals were relatively high and that U.S. natural gas prices were relatively low. This acquisition would mark BHP's first shale gas asset. The company, primarily a miner, gets about 20% of its profits from oil and gas. Most of its assets are in Australia, the Gulf of Mexico, Algeria and Pakistan. The Arkansas asset would likely supply natural gas mostly to utility companies. "These assets at today's gas prices will generate healthy returns," said BHP spokesman Ruban Yogarajah. Shale gas assets have been popular acquisition targets for oil and other companies betting on growing demand and the long-term prospects for the U.S. to reduce its dependence on foreign natural resource imports. Last year, Royal Dutch Shell PLC said it was paying $4.7 billion to acquire most of the shale gas assets of East Resources. In 2009, Exxon Mobil Corp. paid $31 billion for XTO Energy, the largest natural gas producer in the U.S. In January, China National Offshore Oil Corp. said it was acquiring a 33.3% interest in a Chesapeake shale and oil and gas drilling project in Colorado and Wyoming for $570 million. BHP said that it would work with Chesapeake Energy over the next 12 months to ensure a smooth transition. It also said that it had been looking at shale gas assets for nearly a year and had decided that buying them would allow it to enter the shale gas market in a "low risk way." The natural-gas assets are a relatively big resource whose operating life is expected to last 40 years. BHP also plans additional investment to expand them further. Rio Tinto maakte vrijdag bekend nog niet besloten te hebben om Riversdale van de beurs te halen. Het in handen krijgen van Riversdale vergde een maandenlange strijd tussen Rio Tinto en de grootaandeelhouders Tata Steel en de Braziliaanse staalproducent CSN. Een sterke vraag naar grondstoffen vanuit China compenseerde de vraaguitval uit Japan. Dat maakte Rio Tinto donderdag bekend. Rio Tinto zag zich genoodzaakt de productie in zijn kolenmijnen in de Australische staat Queensland te staken na de overstromingen in januari. Inmiddels draaien de mijnen op één na weer op volle toeren. Het concern is de grootste leverancier van zogeheten coking coal, gebruikt bij de productie van staal, aan Azië. The Telegraph reported that shares in US aluminum giant Alcoa jumped almost 4pc following market speculation that London listed miner Rio Tinto was preparing a bid for the group. A trader said that there is a rumor going around that Rio Tinto has secured USD 25 billion syndication loan to acquire Alcoa for USD 25.50 per listed share. A spokesman for Rio Tinto said that he would not comment on rumors but the company has been saying for some time that the mining giant would contemplate acquisitions in the low single digit billion dollar range. A spokesman for Alcoa said that the company does not comment on speculation or rumor. Volumes of Alcoa shares traded in New York jumped at the open, but the shares also saw a high turnover after Goldman Sachs upgraded its rating on the shares to buy from hold and raised its price target to USD 22 from USD 17. Goldman argued that the dynamics of the aluminum industry were improving and the company's position as the world's third largest alumina seller would be a major contributor to profits over the longer term. All Rights Reserved THE world's big miners will need to sink $US1 trillion into mine and infrastructure development in the next five years to keep up with Chinese-led world demand for iron ore, coal and base metals. That's the view of Brazilian iron ore giant Vale, which with Rio Tinto and BHP Billiton dominates world supply of the commodities that will be needed to fuel the continuing urbanisation of China, India and other developing countries in the next decade. Of the $US1 trillion total, about $US200 billion would be needed to boost the output of iron ore to meet demand from the world's steelmakers as the pace of urbanisation grows in emerging countries, says Vale's marketing, sales and strategies director Jose Carlos Martins. Better-than-expected Chinese industrial production figures lifted spirits on world equity markets this week. Yesterday, Rio Tinto gave a tacit nod of approval to Vale's view, saying it would sink an early $US676 million ($632 million) into accelerating expansion of its Pilbara iron-ore operation. The accelerated investment, for early works and long lead-time contracts, is a smallish part of Rio's Pilbara expansion plans. But it will kick-start a $10 billion to $11 billion expansion in the Pilbara, designed to take Rio's iron-ore output from 225 million tonnes to 333 million tonnes. Rio Tinto chief executive for iron ore and Australia Sam Walsh said the spending meant the company would bring extra iron ore to market earlier than planned. ``The demand outlook continues to be strong with supply lagging elsewhere in the industry, and we are seeing new supplies proving slower to materialise than predicted,'' Mr Walsh said. ``We are taking the opportunity to bring forward the next phase of our major capacity expansion to reap the benefits early and at no additional cost.'' Both Vale's and Rio's announcements are a solid reaffirmation of their confidence in a Chinese economy, where the possibility of an inflation-spurred slowdown, driven by higher interest rates, has been worrying markets. Mr Martins said the middle kingdom would probably produce about 700 million tonnes of steel this year, of which 650 million tonnes would be consumed domestically and 50 million tonnes exported. Chinese crude-steel production rose 7.8 per cent to 60.25 million tonnes in May from a year earlier, and was up 8.5 per cent in the January to May period compared with 12 months earlier. Rio said it was quickening its iron-ore expansion due to continued strong demand. BHP Billiton and Andrew Forrest's Fortescue Mining are also trying to quickly boost Pilbara output. All Rights Reserved BHP Billiton may be preparing to launch a $35 billion takeover bid for Woodside Petroleum after shares in the Perth-based explorer closed below $40 for the first time in 10 months, as investors continued to react to last week's shock cost blowouts at the Pluto LNG project. Sources close to BHP have suggested that the world's biggest miner had effectively ruled out a takeover bid for Woodside while the share price remained above $40. BHP told the ASX in April that it was unaware of any reason for market speculation that it would bid for Woodside, although West Australian Premier Colin Barnett revealed the company had sounded him out on a potential bid late last year. Frenzied speculation about a deal in April pushed Woodside's shares above $48, leading BHP to put the planned takeover on the backburner. But analysts at Credit Suisse said yesterday that Woodside's plummeting share price -- it has now fallen by almost 15 per cent this month -- could be the catalyst for BHP to swoop on Royal Dutch Shell's unwanted 24 per cent stake in Woodside as a precursor to a takeover. The shares fell a further 2.2 per cent to close at $39.91 yesterday -- their lowest point since August last year -- after ratings agency Moody's put Woodside on review for a possible rating downgrade. The stock fell 3.8 per cent on Friday after Woodside's new chief executive, Peter Coleman, revealed that the cost of the flagship Pluto LNG project in WA had blown out by another $900 million to $14.9bn and been delayed by a further six months. The announcement came just three weeks after then chief executive Don Voelte said Pluto was 97 per cent complete and would be built for $14bn. In a research note yesterday, Credit Suisse noted BHP had a lack of petroleum growth projects in its portfolio and suggested Woodside would provide it with a platform to become a major player in Asian LNG supply for the next three decades. The bank said BHP may consider a tilt at Woodside especially if the Perth-based group was able to approve an expansion of the Pluto project by signing up third-party gas reserves. ``We see the critical issue as being one of price,'' Credit Suisse said. ``On a risk-adjusted basis WPL (Woodside) may have been too expensive for BHP (once a takeover premium is included), but if WPL's share price stays in the low 40s BHP's interest in WPL may be renewed, particularly if Pluto 2 is de-risked.'' Macquarie Securities analyst Adrian Wood said Pluto was in danger of being remembered as the most expensive LNG project ever built. He estimated Pluto's internal rate of return had dropped to an ``uninspiring'' 10 per cent and Woodside had been effectively ``bailed out'' by a rising oil price and reserve additions since it approved the project in 2007. Mr Wood said Woodside might need to raise equity to fund Pluto. Goldman Sachs analyst Aiden Bradley said the announcement of the setbacks at Pluto may be the start of a ``clearing of the decks'' under Mr Coleman, who previously worked for the financially conservative ExxonMobil for 27 years. Woodside has also downgraded its 2011 production targets from 63-66 million barrels of oil equivalent to 62-64 million boe. as a result of bad weather. Dubal to mine Guinea bauxite with BHP Bloomberg reported that Dubai Aluminum Company is seeking to mine bauxite in Guinea in partnership with BHP Billiton Limited as well as sourcing the raw material from Cameroon and India. Mr Sultan Al Sabri GM of marketing and sales said that “One of our projects is in Guinea together with BHP Billiton. We’re looking at Cameroon. Talks in Orissa, India, didn’t really move forward much because of lack of support from local officials.” Mr Bill Campbell CFO of Dubai Aluminum said that the company’s Emirates Aluminum Company JV with Abu Dhabi state run investor Mubadala Development Company will double annual capacity to 1.5 million tonnes by March 2015. He said that aluminum producers are seeking to secure sources of raw materials as costs increase, squeezing margins. Gulf States also aim to develop aluminum production as they diversify away from oil and gas exports and demand for the metal climbs. Mr Campbell said that Dubal may combine with its JV under a holding company.
