Dirk

IB Todaysbrokers Beiden zelfde platform.
J&J Buys 18% Stake in Crucell, Forms Flu-Shot Venture (Update2) By Albertina Torsoli (te beluisteren via Audio Webcast Q&A, 03:60) Sept. 28 (Bloomberg) -- Johnson & Johnson agreed to purchase an 18 percent stake in Crucell NV for 301.8 million euros ($441 million) as part of a plan to jointly develop influenza vaccines and treatments against other diseases. The companies will initially focus on the so-called flu-mAb antibody to treat and prevent flu, J&J and Crucell said in a statement today. They will also research antibodies and vaccines directed at as many as three other targets for infectious and non-infectious diseases. J&J joins Sanofi-Aventis SA, GlaxoSmithKline Plc and Novartis AG in the market for flu vaccines, which has been given a boost by the spread of swine flu across the globe. The agreement comes eight months after Wyeth ended talks to buy Crucell because the U.S. drugmaker is being acquired by Pfizer Inc. Crucell climbed the most since April in Amsterdam trading. “Despite significant advances in prevention and treatment, influenza remains a major health threat,” said Paul Stoffels, J&J’s global head of pharmaceutical research and development in the statement. Crucell gained 1.15 euros, or 7.2 percent, to 17.10 euros as of 9:03 a.m., after surging as much as 9.1 percent. The stock has gained 55 percent this year. www.bloomberg.com/apps/news?pid=20601... ___________________ By ROBIN VAN DAALEN AMSTERDAM -- Pharmaceutical giant Johnson & Johnson said Monday it bought an 18% stake in Dutch biotechnology company Crucell NV as part of a deal to collaborate on the treatment and prevention of influenza. The U.S. company will pay €301.8 million ($442.7 million) for 14.6 million newly issued shares in the Leiden-based firm. Both companies agreed to milestones and royalty payments based on the development and commercialization of products in connection with the collaboration. "We are excited about this collaboration with Crucell because it provides us access to antibody and vaccine know-how and technology, and expands our ability to offer preventive health-care solutions for unmet medical needs," said Paul Stoffels, global head of pharmaceutical research and development at Johnson & Johnson. Big pharmaceutical companies have been increasingly eyeing the global vaccines market as blockbuster drugs go off-patent. In January, Crucell pulled out of friendly takeover talks with U.S.-based Wyeth, which will merge with Pfizer Inc. Crucell and Johnson & Johnson will start with the development and commercialization of a universal monoclonal antibody product for the treatment and prevention of influenza, while in the longer term they will work on new discovery programs for a universal influenza vaccine and monoclonal antibodies targeting up to three other infectious and noninfectious diseases. Shares of Crucell jumped Monday, rising 7.2% to €17.10. Shares have risen more than 55% since the start of 2009.online.wsj.com/article/SB125412212930... __________________ J&J Buys 18% Stake in Biotech Firm Crucell NEW BRUNSWICK, N.J. (TheStreet) -- Johnson & Johnson (JNJ Quote) has purchased 14.6 million shares of Crucell(CRXL Quote), or 18% of the Dutch biotechnology company, for 301.8 million euros ($441 million) under a partnership to develop flu vaccines. J&J said the immediate focus of the collaboration will be to develop and commercialize a universal monoclonal antibody product (flu-mAb) for treating and preventing flu. The companies also will work to develop vaccines for other infectious and non-infectious diseases. The companies also have agreed to development milestones and royalty payments based on the successful development and commercialization of products. Under the flu-mAb collaboration, J&J's Ortho-McNeil-Janssen Pharmaceuticals division and Crucell will seek to develop a universal flu-mAb product targeting all influenza A strains, which cause seasonal flu and the current pandemic including H1N1 strains, and the bird flu strain. J&J said the transaction is expected to dilute 2009 adjusted earnings by 2 cents to 4 cents a share. -- Reported by Joseph Woelfel in New York .www.thestreet.com/story/10603994/1/jj... _________________ UPDATE 2-Johnson & Johnson buys 18 pct stake in Crucell Mon Sep 28, 2009 4:44am EDT * Johnson & Johnson buys 18 pct stake for 302 mln euros * Collaboration to focus on universal flu vaccine * Deal dilutive to Johnson & Johnson EPS of up to $0.04 * Crucell shares up 4 pct (Adds CEO, analyst comments, details, shares) By Aaron Gray-Block AMSTERDAM, Sept 28 (Reuters) - U.S. diversified health care company Johnson & Johnson (JNJ.N) has bought an 18 percent stake in biotech firm Crucell (CRCL.AS)(CRXL.O) for 302 million euros ($444 million) as part of a flu vaccine development deal, the Dutch company said on Monday. Vaccine-makers have been hot M&A targets recently, particularly for large drugmakers keen to secure new products as exclusivity on existing best selling products nears an end. Crucell had previously been in takeover talks with U.S. drugmaker Wyeth (WYE.N), but talks were broken off in January after Pfizer (PFE.N) moved in to buy Wyeth. [ID:nN26367941] Johnson & Johnson and smaller rival Abbott (ABT.N) are already the most diversified of the large U.S. and European healthcare companies, but both continue to snap up more companies and products -- often at distressed prices due to the economic downturn. [ID:nLS426471] Crucell said it issued 14.6 million new Crucell shares to Johnson & Johnson, which paid about a 30 percent premium based on the average price of Crucell shares in the past 35 days. That led to a price per share of about 20.63 euros. The transaction will have an estimated dilutive impact of $0.02 to $0.04 on Johnson & Johnson's 2009 adjusted earnings per share. Crucell said the collaboration will focus on developing a universal "flu-mAb" product targeting all influenza A strains. That includes H1N1 strains which cause seasonal flu and the current pandemic flu, along with the H5N1, or avian, strain. Both companies also agreed to milestones and royalty payments based on the successful development and commercialisation of products, but Crucell declined to provide further details. "A universal antibody or vaccine that protects against a broad range of strains would be an important advance in helping ... control acute epidemic and pandemic outbreaks," said Paul Stoffels, global head of pharmaceuticals R&D at Johnson & Johnson, in a statement. Shares in Crucell were up 4 percent at 16.585 euros at 0750 GMT, outperforming a 1.1 percent fall in the Amsterdam midcap index .AMX. "This collaboration is a good deal for Crucell. Although the drug is still in a very early stage, Crucell would not have been able to support the expensive late clinical trials on its own," SNS Securities analyst Ilja Zaanen said. The collaboration will also focus on development and commercialization of non-flu vaccines for the treatment and prevention of other infectious and non-infectious diseases. As part of the deal, Crucell and Johnson & Johnson affiliate JHC Nederland agreed to a three-year standstill, requiring Crucell's consent for an increase in JHC Nederland's interest in Crucell and a three-month lock-up on transfers of the shares. Crucell Chief Executive Officer Ronald Brus said
Crucell Chief Executive Officer Ronald Brus said the deal will have no impact on the company's exclusive partnership with Sanofi-Aventis (SASY.PA) over the French firm's production of a cell-based flu vaccine using Crucell's PER.C6 technology. The company said last month it planned to kick off clinical Phase I studies of the experimental antibody-based flu drug, which had substantially outperformed Roche AG's (ROG.VX) market-leading Tamiflu pill in preclinical tests. Brus said there were no changes to the company's timing, but declined to give an estimated date for the launch of a product. "We think we have a headstart. We have worked a long time already on this and we feel quite prepared to be the first out (with a product), but I can't give you timelines," Brus said. Crucell's antibody, produced using its PER.C6 technology that uses human cells rather than chicken eggs, aims to provide an antibody to treat or prevent a wide variety of influenza viruses.

Lijkt me logisch dat we vandaag rood eindigen.

Well, not quite a buy-out. Stunned that the stock is still at 16.50 euro, and that SNS are being such jerks...but analysts are usually jerks for a reason. Yes, it is dilutive to Crucell shares, but even after dilution, it comes in at 20.6 euro a share. As with every deal with Crucell, it is hard to get a feel for what the actual value is. Especially since we have mixed in with this deal development on three other products that involve milestones and royalties and commercialization rights. Stock may troll around 16 to 16.50 until the US market thinks about opening. People who bought options are going to want to run this until October 17th. Lastly, Crucell now has some money to go hunting...what are they eyeballing? Something in Japan...or at least the East Asia as I recall.

NB. Bijna een miljoen verkocht, dus ook gekocht...
Special Analyst call at 9am EDT Log in at Crucell.com Again, there is no reason for this stock to still be at 16.45 euro. Should be some fun action the rest of the day. Reminds me of the Roche Genentech deal
:-#) Dirk
