    Fertiglobe is in ieder geval al 3% gestegen naar 3,10. De prijs van 3,20 stond eind november op de borden en half november zelfs 3,40. Dus die premie stelt niet zo veel voor aangezien de koers in december aardig gezakt is. Bij een verdere daling is het natuurlijk goed om er voor 3,20 van af te zijn. Daarnaast is het ook natuurlijk wel een oplossing voor de holdingkorting, de koers van OCI moet dus wel omhoog.
    Overigens staat in het persbericht meerdere keren dat de deal ruimte biedt voor flexibiliteit voor capital returns, dus ik verwacht wel een hoog dividend wat uiteindelijk voor de lange termijn misschien niet zo goed is voor OCI. Ik verwacht dat ze meer van dit soort desinvesteringen gaan doen om aandeelhouderswaarde te creëren en meer op 1 segment te focussen. Hopelijk wordt er vanmiddag meer duidelijk.

    Ook voor 3,6 miljard dollar en dit geld willen ze gebruiken om de schuld af te lossen.

    Netherlands, 18 December 2023: OCI Global (Euronext: OCI), a leading global producer and distributor of hydrogen products today announced that it has reached an agreement for the sale of 100% of its indirect interest in its large-scale US greenfield nitrogen fertilizer facility Iowa Fertilizer Company LLC, located in Wever, Iowa, USA to Koch Ag & Energy Solutions for a total consideration of USD 3.6 billion on a tax free basis, subject to a customary cash, debt and normalized level of working capital adjustment.

    Consummation of the transaction remains subject to receipt of certain US antitrust approval and other customary closing conditions. The transaction does not require OCI’s shareholders to vote on approval. The transaction is expected to close in 2024.

    Morgan Stanley & Co. International plc is serving as financial advisor to OCI on the transaction. Cleary Gottlieb Steen & Hamilton LLP is acting as its legal advisor.

    Strategic review update

    OCI launched a multi-faceted strategic review in March 2023, with the objective of closing the discount to OCI’s intrinsic value and unlocking value for its shareholders. Today’s announcement marks an important step in delivering these objectives, with the crystallisation of USD 3.6 billion of value for OCI. The transaction is expected to result in a reduction in holding company net debt and deliver a capital return to shareholders, enabling the remaining enterprise to explore incremental value accretive opportunities in the energy transition space, building on its early mover lower-carbon ammonia and green methanol platforms.

    Nassef Sawiris, Executive Chairman of OCI commented: “Today’s announcement marks an evolutionary step in our journey to create value for shareholders, and to enhance our focus on efforts in lower carbon initiatives.     OCI verkoopt Amerikaans kunstmestbedrijf IFCO aan Koch

    Iowa Fertilizer Company brengt 3,6 miljard dollar op.

    (ABM FN-Dow Jones) OCI verkoopt zijn kunstmestbedrijf Iowa Fertilizer Company aan Koch Ag & Energy Solutions voor 3,6 miljard dollar. Dat maakte het bedrijf met een notering in Amsterdam maandag voorbeurs bekend.

    OCI startte in maart 2023 een strategische evaluatie, om de korting op het aandeel weg te werken.

    De verkoopsom betekent een belangrijke stap in het behalen van die doelstelling, stelde OCI maandag.

    Mededingingsautoriteiten moeten nog hun goedkeuring geven. Maar groen licht van de aandeelhouders is niet nodig, aldus OCI.

    Het bedrijf verwacht de deal in de loop van volgend jaar af te kunnen ronden.

    De opbrengst zal worden gebruikt om de schuld van de holding aanzienlijk te verlagen en mogelijk om kapitaal terug te geven aan aandeelhouders. Het resterende bedrijf kan kijken naar kansen voor geleidelijke waardeverhoging op het terrein van de energietransitie, voortbouwend op zijn platforms voor ammonia met verlaagde CO2-uitstoot en voor groene methanol.

    OCI bouwde IFCO, dat stikstof voor kunstmest produceert, vanaf 2017 eigenhandig op en zegt daarmee een belangrijke industrie in de Verenigde Staten nieuw leven te hebben ingeblazen.

    "Ik zie uit naar voortzetting van de reis van waardecreatie en het versnellen van waaardevermeerderende projecten gericht op het versnellen van duurzaamheid", stelde CEO Ahmed El Hoshy, wijzend op de methanolactiviteiten en het project voor blauwe ammonia in Texas, dat naar verwachting in 2025 afgerond zal zijn.

    Het is de tweede grote deal van OCI in korte tijd. Vorige week werd de verkoop van het belang in Fertiglobe aan Adnoc voor 3,62 miljard dollar aangekondigd.
