evbox.com/en/about/careers/job?gh_jid... Mooie vondst! EVBox gaat er dus vanuit dat ze in de toekomst aan de SEC gaan rapporteren en dat betekent m.i. dus dat EVBox er van uit gaat dat de fusie doorgaat.
Ja zo lijkt het inderdaad NIN maar het feit dat het er staat betekent dat ze er mee bezig zijn. Ik zie het als een optelsom; bericht in de Q1 van Engie, Light Street Capital aankopen, ramp up productie/ expansie drift, belangen van beide. enfin ik hoop ook dat het doorgaat en wil er graag geld aan verdienen eventueel ook als wat langere belegging in porto.

Als ze de datum van 6 augustus willen verlengen naar 6 september zullen ze dit moet melden lijkt me, omdat een eerste verlenging tot 6 augustus was.

Dus conclusie: van die verlenging hebben ze niet gebruik gemaakt?
Het is spannend maar toch verwacht ik dat fusie (op termijn) doorgaat. Zoals eerder genoemd zijn er meer argumenten voor laten doorgaan dan laten afketsen. Daarnaast zijn alle bepalingen tav mogen terugtrekken, boetebeding etc naar mijn mening een stukje politiek en een verzekering voor beide partijen igv extreme en ongewenste situaties. Dan is er nog de veel complexere constructie dan bij de meeste SPACs die uitstel, vertraging ed verklaren.
Ja de US Gaap audited financials 2020 zijn nodig voor de fusie. Daarnaast is er de onderhandeling tussen TPGY en EVBox. Indien EVBox de deadline van 6 augustus niet haalt, mag (geen verplichting) TPGY weglopen met een beperkte schadevergoeding. Maar waarom zou TPGY dat doen? Hebben ze een beter alternatief dan de verwachte waarde van 30-50usd per aandeel EVBox bij doorgaan fusie? Ik verwacht dat TPGY de fusie doorzet en bereid is langer te wachten. Indien niet, dan heeft TPGY blijkbaar een beter alternatief voorhanden. Zo kijk ik er na.

In de half jaarlijkse Financial Report 2021 van Engie staat het volgende over de merge van EVBox “Assets classified as held for sale” at June 30, 2021 corresponds to renewable energy assets in Mexico (the sale of which is highly probable but remains subject to various approvals being obtained), the Group’s interest in ENGIE EPS SA and the Group’s interest in EV Charged BV (EVBox), for which the plan to sell the majority of the Group’s shares was announced in December 2020. These transactions are expected to be completed in second-half 2021. Given the expected capital gains from the disposals, no significant value adjustment has been recorded. Ziet er veelbelovend uit.
