The move comes as part of a larger planned sell-off by Unibail-Rodamco-Westfield Group, a European property company, which plans to divest most of its U.S. assets and use those funds to reduce its debt. URW was hit hard by the pandemic, reporting an operating loss of more than $8.2 billion last year as COVID-related mall closures and asset depreciations hammered its business. A URW spokesperson noted that the Westfield Palm Desert sale was part of this broader “strategy to rebalance (the company’s) portfolio and divest certain assets.” The mall, at Highway 111 and Monterey Avenue, opened in the early 1980s. Its current tenants include Macy’s, J.C. Penney, Dick’s Sporting Goods, H&M, and Barnes and Noble. URW took control of the property in mid-2018, when Unibail-Rodamco merged with Westfield. Unibail-Rodamco’s $15.7 billion purchase of Westfield grew the company’s properties to 102 shopping centers across 13 countries. It currently lists 86 shopping centers among its holdings. The company will transition management of the property to a third-party receiver prior to the sale, according to a URW spokesperson. The mall will remain open throughout the transition period, the spokesperson said. The company declined to provide further details regarding a potential price or timeline for the sale. Company acquired mall in 2018 Most of the company’s U.S. assets by value are located in California, although URW has malls and other retail properties across the county in locations such as Florida and New York. At the time of the 2018 merger, Christophe Cuvillier, Unibail-Rodamco’s director, predicted that the deal would usher in a “new chapter in our history” and said: “With an unparalleled track-record and know-how in retail, offices, and convention and exhibition venues, the group is ideally positioned to generate superior value and develop world-class projects.” But many malls were hit hard during the pandemic, driving a record number of store closures in 2020, according to real estate data company CoStar Group. URW’s executives are betting that, despite the nearly $1.9 billion depreciation on the company’s mall and other assets last year, its California malls will still prove attractive to the right buyers. Jean-Marie Tritant, URW’s management board chairman, said in a February earnings call that the company was banking on the strength of California’s economy and a 2021 economic rebound in the state to sell assets in a timely and lucrative manner. “These assets … are strong and they’re on their catchment areas, and they would be stronger with the rebound,” Tritant said, adding that the weaker competition from other pandemic-afflicted businesses would boost their attractiveness. Mall opened in 1983 to large crowds The mall was originally known as the Palm Desert Town Center, and it opened officially on Nov. 5, 1983. On that day, some 7,000 people showed up to stroll through what had been billed as the Coachella Valley’s newest “community.” The turnout was astounding considering that Palm Desert’s population, at the time, was just 14,000. At the time, malls were seen as a new way for municipalities to improve residents’ quality of life. Built for $75 million by Ernest Hahn, a longtime Indian Wells resident and head of the then-largest mall development company in the Western United States, the Palm Desert Town Center, upon its completion, was valued at $140 million and boasted two levels, 140 shops, four department stores, seven movie theaters and an ice rink. By 2019, its list of stores had shrunk to 122, and the ice rink had been closed for years. Sears, one of the five anchor stores, closed in early 2020, just before the pandemic forced many stores at the mall to shut temporarily. Record Alley, another longtime tenant, also closed in 2020.

Kwartaalcijfers geweest ==> 1,5 mio extra stoppen in URW. Je kunt er de klok op gelijk zetten. Hij is ons eigen ECBtje. De signaalwaarde voor de markt van die aankopen is niet te onderschatten. Het houdt shorters in elk geval op afstand. Wat Niel straks van plan is met zijn bezit? Ik zou het niet weten. Voor het zelfde geld richt hij een goede doelen stichting op voor kansloze Franse jongeren en stopt de URW aandelen erin.Zodat die Xavier Niel Stichting tot in lengte van dagen van het dividend van URW mooie dingen kan doen voor de mens :).

Heb eens teruggezocht. Op 10 mei had ik het volgende gepost:
"Zelf bereken ik via de laatste meldingen van het AMF dat Mr. Niel 17,4% heeft."
Dus nu komt Mr Niel aan zo'n 18,5%
:-) Dank voor het nakijken Philip ! Nu, dan mag hij van mij nog even doorgaan tot zo'n 24% ;-) (wordt ik niet onrustig van gezien de verplichting tot het uitbrengen van een bod welke ontstaat bij de 30%-grens) Fijne dag allen !

Zou kunnen, maar ik denk van niet. Ze hebben het immers over 'een koper'.Wellicht dat er wel, zoals Lamsrust eerder suggereerde, een onderhandeling heeft plaatsgevonden/ plaatsvindt tussen koper en bank over korting op bestaande lening. Kan (kostbare)inspanning besparen voor URW voor de tijd tussen overeenkomst en levering. * Daarna, afhankelijk van de 'soort koper' is er wel of niet structureel een beheerder nodig. Voor mij geeft dit bericht 2 dingen aan; - koop is aanstaande; - geruststellen locale markt, belanghebbenden en bestaande huurders. Ze maken in elk geval vaart met 'de plannen' !
(ABM FN-Dow Jones) JPMorgan Cazenove heeft woensdag de koersdoelen voor WDP, Wereldhave en Unibail-Rodamco-Westfield verhoogd. Voor WDP ging het koersdoel van 38,00 naar 40,00 euro en voor Wereldhave van 10,50 naar 13,50 euro. Unibail kreeg een verhoging van 48,00 naar 50,00 euro. Hebben ze daar in de US een verkeerde wisselkoers voor ogen? Of wat weten zij wat de rest niet weet?

Verkeerde wisselkoers dan maar(lol) ;-)(ik meen dat deze US banken met deze koersdoelen uitgaan van doemscenario's. Ze zullen ons forum niet gevolgd hebben...). NB GS staat nog op 100 euro en koop HSBC staat nog op 102 euro en koop Invest securities 77 euro en koop ABN AMRO Oddo 90 euro en koop Iex beleggersdesk 78 euro en houden. Het totaalbeeld analisten/ adviezen verbetert !(zelfs bij de waardeloze adviezen zoals deze van JP Morgan Cazenove gaan in elk geval de koersdoelen omhoog...).
Zo zo, ze klappen er op daar bij JPMorgan, toch weer een verhoging erbij, haha. Zou Niel zijn advies wel eens willen zien ;)

Yep. A Westfield spokesperson confirmed the move in a statement to News Channel 3:"The lender is seeking to transition management to a third-party receiver and sell Westfield Palm Desert in Palm Desert, CA. Any potential future sale of the asset would support our strategy to rebalance our portfolio and divest certain assets to reshape how people shop, live, work and play. During the transition period ahead, the center will remain open and operating to serve the local community." Onderstaand uit een Morning Star report van 18 mei 2021. Kennelijk is de CMBS van Palm Desert al een tijdje in default en wordt er met de Lenders gesteggeld over een sponsor guarantee clausule, i.e. Westfield zou het tekort voor de Lenders gegarandeerd hebben. Indien deze garantie echter is afgegeven door de SPV waar alleen Palm Desert inzit - hetgeen een gebruikelijke wijze van structureren is - dan heeft deze garantie geen waarde. Indien deze afgegeven is door een moedervennootschap wellicht wel. Wat ook nog kan is dat deze garantie is afgegeven door de oorspronkelijke Australische Westfield moeder en die garantie bij de Westfield deal niet is overgedragen, dan moet die vennootschap het verschil ophoesten. Maar die is waarschijnlijk al geliquideerd. Garanties zijn altijd juridisch veelkoppige monsters, omdat ze vaak pas na vele jaren worden ingeroepen en het dan altijd een puzzel is door wie de garantie is afgegeven en wie die eventueel is overgedragen en of daar nog iets te halen valt. Wat is mij wel afvraag is waarom URW nog E 7.3mln aan de JV partner heeft betaald voor Trumbull en Palm Desert nu deze URW niks gaan opleveren behalve een papieren boekwinst ter grootte van het verschil tussen de openstaande schuld en de boekwaarde. Of het was een afspraak in de JV agreement of de JV partner beschuldigde URW van het laten versloffen van het management en wilde daarvoor compensatie. The rating downgrades and Negative trends reflect the increased losses to the trust expected by DBRS Morningstar, primarily attributed to three specially serviced loans in the pool. The largest loan in special servicing is the Westfield Palm Desert Mall (Prospectus ID#1, 7.9% of the trust balance) loan, which has been in special servicing since July 2020 and was last paid in April 2020. In March 2021, the special servicer reported a September 2020 appraised value of $65.9 million, down by 68.9% from the issuance value of $212.0 million and indicative of an as-is loan-to-value on the pari passu senior note balance of approximately 190.0%. Based on the updated value and the likelihood that the loan will be liquidated by the special servicer, DBRS Morningstar expects a loss severity in excess of 60.0%, the primary driver for the rating downgrades as previously outlined. The interest-only (IO) pari passu loan had a total issuance balance of $125.0 million, with the other piece held in the WFCM 2015-C27 transaction (also DBRS Morningstar rated). The loan is secured by a 572,724-square-foot (sf) portion of a 977,888-sf regional mall in Palm Desert, California. Since the loan’s transfer to special servicing, the servicer has been in discussions with the sponsor regarding a potential workout, with lender remedies also being tracked as a resolution strategy. The servicer noted that the loan is structured with a sponsor guaranty that would cover the difference between the outstanding loan balance and the foreclosure proceeds. Although the guaranty is noteworthy, the servicer noted the work remains ongoing to determine the feasibility of enforcing the guaranty. DBRS Morningstar did not give any credit to the guaranty in the analysis for this review. The sharp value decline for the mall is generally the product of previous cash flow declines that preceded the onset of the Coronavirus Disease (COVID-19) pandemic; however, the mall’s tertiary location and related limitations in attracting replacement tenants to backfill existing vacancies were also significant contributors to the loss in value since the subject loan was made in 2015. The mall’s active anchors are Macy’s and JCPenney, with a dark Sears that was closed in early 2020. None of the anchor boxes are collateral for the subject loan. The largest collateral tenants include Dick’s Sporting Goods, Tristone Cinemas, and Barnes & Noble. As of March 2020, the subject reported a debt service coverage ratio (DSCR) of 1.58 times (x), a decline compared with the YE2019 and YE2018 DSCR figures of 1.97x and 2.26x, respectively.

Voor Unibail en Wereldhave is JPMorgan een stuk terughoudender. Bij Unibail wachten de analisten eerst af hoe de desinvesteringsplannen uitpakken, vooral in de VS. Wereldhave deed in dit opzicht goede zaken met de verkoop van Franse winkelcentra, aldus JPMorgan. Wel blijft de zakenbank sceptisch over de winstontwikkeling na een dieptepunt in 2022. JP Morgan maakt zich duidelijk zorgen of de (gedeeltelijke) verkoop US assets ervoor kan zorgen dan de LTV onder controle blijft nu ze vinden dat WHV in dit opzicht GOEDE zaken heeft gedaan met een verkoop van de Franse assets tegen 40% (!) korting.

Bij aankoop van de Westfield assets stonden de toenmalige regionals in de boeken voor EUR 2.346 mrd. Nu staan ze in de boeken voor EUR 1.858. Echter, dit moet met EUR 705 mln gecorrigeerd worden, i.e. het saldo voor de toevoeging van de (voormalige) Flagships Santa Anita, Annapolis en SF Fashion Centre en het afvloeien van de (nieuwe) Flagship Mission Valley. Dit leidt tot een gecorrigeerde boekwaarde van EUR 1.153. Dit moet worden gecorrigeerd voor de boekwaarden van de 4 foreclosures ad EUR 94 mln en de opbrengst van Meriden, Siesta Key en Sunrise - uit mijn hoofd samen max EUR 50 mln - leiddende tot een herziene boekwaarde LfL van plm. EUR 1.3 mrd. Conclusie: de oorspronkelijke regionals zijn in 3 jaar tijd bijna 50% in waarde gedaald. Dit was dus voor een groot deel een berg rotzooi die is meegekocht. Van de oorspronkelijke regionals zit m.i. alleen echt waarde in Oakridge, Valencia en Brandon. Tezamen met Santa Anita, Annapolis en SF Fashion Centre vormen zij nu 90% van de boekwaarde van de US regionals. North County, Plaza Bonita en Southshore zullen samen niet veel meer dan EUR 100 mln waard zijn. Ik vermoed dat het eindejaarsdoel is dat alle foreclosures zijn afgewikkeld en dat North Country, Plaza Bonita en Soutshore er met dikke korting (ettelijke tientallen miljoenen hetgeen op het geheel niet materieel is) uitgegooid worden, zodat volgend jaar een ordentelijk proces voor de 6 resterende regionals Oakridge, Valencia, Brandon, Santa Anita, Annapolis en SF Fashion Centre kan plaatsvinden. Eventueel aangevuld met bij nader inzien en per ultimo 2021 te herklasseren 1 of 2 zwakkere Flagships. Dan resteert een echte premium US Flagship portfolio waarop de volle aandacht kan uitgaan. Het opruimen van dit hele zooitje zorgt uiteindelijk vooral voor grote besparing asset management kosten
Mooie slotstand, super, slechts 0.03 euro lager dan de hoogste koers van de dag (73,600 om 15:52:29) ! :-)

40% korting op een NIY van ~ 5,2% waarvoor ze in boeken staan. Bij JPMorgan denken ze dat de boekwaardes wellicht met een schep zout genomen kunnen worden URW NDV van 106 vs 250 + niet al te lang geleden zou een hint kunnen zijn dat taxateurs ook maar wat aan t doen zijn..
