Elan wijst verhoogd bod Royalty Pharma af Gepubliceerd op 10 jun 2013 om 10:59 | Views: 1.099 DUBLIN (AFN/BLOOMBERG) - De Ierse farmaceut Elan heeft een verhoogd overnamebod van de Amerikaanse investeerder Royalty Pharma afgewezen. De verhoging, naar 6,7 miljard dollar, is nog altijd een significante onderwaardering van het bedrijf, aldus Elan maandag. Het bestuur van Elan raadt zijn aandeelhouders dan ook aan niet op de avances van Royalty Pharma in te gaan. Volgens Elan is het bedrijf alleen al op basis van de inkomsten uit de verkoop van het multi sclerosemedicijn Tysabri minstens 15,50 dollar per aandeel waard. Royalty Pharma gaf afgelopen vrijdag aan 13 dollar per aandeel te willen betalen plus maximaal 2,50 dollar aan zogeheten contingent value rights.
Pfizer en Takeda komen tot schikking met Teva en Sun Pharma AMSTERDAM (Dow Jones)--Pfizer Inc. (PFE) en Takeda Pharmaceutical Co. (4502.TO) hebben een schikking weten te bereiken met Teva Pharmaceutical Industries Ltd. (TEVA) en Sun Pharmaceutical Industries Ltd. (524715.BY) inzake schadevergoedingen voor patentinbreuken die zijn ontstaan door de lancering van Protonix in de VS. De schikking volgt op een bijna tien jaar durende juridische strijd waarin Pfizer en Nycomed - nu onderdeel van Takeda - zochten naar een manier het patentrecht voor het succesvolle medicijn uit te oefenen. Pfizer krijgt 64% van de opbrengsten uit de schikking, waar Takeda het restant tegemoet kan zien. Onder de voorwaarden van de schikking zullen Teva en Sun in totaal $2,15 miljard aan compensatie betalen aan Pfizer en Takeda voor de schade die zij hebben geleden nadat Teva en Sun "at-risk" versies van Protonix lanceerden voorafgaand aan het verlopen van het patent op pantoprazole, het actieve bestanddeel van Protonix. De lanceringen waren volgens de jury van een federale rechtbank in New Jersey in overtreding van een patent dat Takeda in bezit had en in de VS exclusief in licentie had gegeven aan Pfizer. Teva zal Pfizer en Takeda $1,6 miljard betalen en Sun $550 miljoen. The Supreme Court unanimously ruled Thursday that human genes isolated from the body can't be patented, a victory for doctors and patients who argued that such patents interfere with scientific research and the practice of medicine. The court was handing down one of its most significant rulings in the age of molecular medicine, deciding who may own the fundamental building blocks of life. The case involved Myriad Genetics Inc. (MYGN), which holds patents related to two genes, known as BRCA1 and BRCA2, that can indicate whether a woman has a heightened risk of developing breast cancer or ovarian cancer. Justice Clarence Thomas, writing for the court, said the genes Myriad isolated are products of nature, which aren't eligible for patents. The high court's ruling was a win for a coalition of cancer patients, medical groups and geneticists who filed a lawsuit in 2009 challenging Myriad's patents. Thanks to those patents, the Salt Lake City company has been the exclusive U.S. commercial provider of genetic tests for breast cancer and ovarian cancer. The challengers argued the patents have allowed Myriad to dictate the type and terms of genetic screening available for the diseases, while also dissuading research by other laboratories. Humans have roughly 25,000 genes, which are DNA segments that represent basic units of heredity. Myriad said its patents were the result of significant financial investments that allowed the company to make breakthroughs in diagnosing a woman's hereditary cancer risk. The company and its backers, including trade groups for the pharmaceutical and biotech industries, warned that disallowing patents like Myriad's could deter financial investments for future medical innovations. But many companies in the medical industry took a more sanguine view of the case, saying an end to gene patents could open up new opportunities to develop diagnostic services, including tests that analyze large numbers of genes at once. The Supreme Court's ruling overturned a divided appeals court opinion that broadly allowed gene-related patents. Lower court judges noted the U.S. Patent and Trademark Office had been granting patents on DNA sequences for 30 years. At arguments in April, Supreme Court justices were skeptical that human DNA extracted from the body could be patented like a mechanical invention. The debate highlighted how some discoveries may not be patentable, even if they unlock important medical mysteries. "Patent law is filled with uneasy compromises," Justice Stephen Breyer said during the arguments. "On the one hand, we do want people to invent; on the other hand, we're very worried about them tying up some kind of whatever it is, particularly a thing that itself could be used for further advance." The court in recent years has sought to constrict the scope of patent protections, concerned that patents were being issued too easily and so broadly as to squelch competition and impede innovation. Justice Elena Kagan at one point alluded to such concerns, describing the Patent and Trademark Office as "patent-happy." The arguments featured a battle of analogies. "A baseball bat doesn't exist until it's isolated from a tree. But that's still the product of human invention to decide where to begin the bat and where to end the bat," Myriad lawyer Gregory Castanias told the court. Chief Justice John Roberts, who compared the gene-isolating technique to simply "snipping" one element from a longer strand, disagreed. "The baseball bat is quite different," he said. "You don't look at a tree and say, well, I've cut the branch here and cut it here and all of a sudden I've got a baseball bat. You have to invent it." &J neemt medicijnontwikkelaar Aragon over NEW BRUNSWICK (AFN) - Johnson & Johnson (J&J) neemt medicijnontwikkelaar Aragon over. De farmareus betaalt in eerste instantie 650 miljoen dollar in contanten. Daar kan nog eens 350 miljoen dollar bovenop komen afhankelijk van het halen van vooraf opgestelde mijlpalen. Dat maakte het concern maandag bekend. Aragon houdt zich met name bezig met het ontwikkelen van medicijnen tegen een aantal kankersoorten. Het voornaamste product, ARN-509, is een middel tegen een vorm van prostaatkanker dat in de tweede ontwikkelingsfase zit. J&J verwacht de overname in het derde kwartaal van dit jaar af te kunnen ronden.

Dat maakte Pharming dinsdag bekend. Pharming en partner Santarus verwachten dat de FDA voor 16 april 2014 met een uitspraak komt. Het indienen van de BLA werd al in november vorig jaar aangekondigd. Destijds stelde het Nederlandse biotechbedrijf in aanmerking te komen voor een mijlpaalbetaling van 5 miljoen dollar als de FDA de aanvraag in behandeling neemt. In november maakten beide bedrijven ook positieve testresultaten van Ruconest bekend. Het succes met het middel tegen erfelijk angio-oedeem leverde Pharming toen al een mijlpaalbetaling op van 10 miljoen dollar.

Daarmee hielden zij de prijzen van geneesmiddelen onnodig hoog. De hoogste boete, van 93,8 miljoen euro, gaat naar het Deense bedrijf Lundbeck. Die betaalde concurrenten om de introductie van generieke varianten van zijn goedverkopende antidepressiemiddel Citalopram uit te stellen. Vier producenten van generieke medicijnen, waaronder het Duitse concern Merck, moeten vanwege deze afspraken boetes van in totaal 52,2 miljoen euro betalen. Volgens de commissie staat vast dat de introductie van imitatiemedicijnen de prijzen van geneesmiddelen sterk verlaagd. Zo daalde de prijs van middelen die vergelijkbaar zijn met Citalopram in Groot-Brittannië met 90 procent, nadat de generieke medicijnen op grote schaal op de markt werden gebracht.

Dat bedrijf zou de afgelopen jaren op grote schaal dokters en ambtenaren in China hebben omgekocht. Omkoping is een centraal onderdeel van de activiteiten van het bedrijf'', zei hoofdonderzoeker Gao Feng maandag over GSK. ,,Om de prijzen en verkopen te verhogen voert het bedrijf illegale acties uit.'' China kondigde begin deze maand al aan prijsafspraken van buitenlandse farmaciebedrijven te onderzoeken. Volgens de Chinese overheid zouden plaatselijke managers van GSK hun omkooppraktijken inmiddels hebben toegegeven, zonder al teveel details te verschaffen. Topman Andrew Witty sprak in dit verband woensdag van ,,beschamende '' beschuldigingen en beloofde dat het bedrijf de zaak ,,tot op de bodem'' zal onderzoeken. Eerder deze week gaf het hoofd van de afdeling opkomende markten van GSK al aan dat Chinese werknemers mogelijk de wet hebben overtreden. Witty herhaalde de stelling dat zij de controles van het bedrijf hebben omzeild.
